Recitals

WHEREAS, Supervisor named above: is responsible for overseeing projects and approving investments intended to improve operational performance and create financial or non-financial returns for the Organization;

WHEREAS, Organization: intends to engage Supervisor to prepare or review a formal supervisory return-on-investment analysis for the project titled ; and

WHEREAS, the Parties desire to set forth the scope, deliverables, timing, payment terms and legal provisions governing the performance of the supervisory ROI analysis as set forth in this Agreement.

Scope of Work

Supervisor shall perform a supervisory return-on-investment analysis including data collection, baseline establishment, benefit quantification, cost estimation, sensitivity analysis, and an implementation feasibility assessment. Deliverables include a written ROI report, supporting calculations, and an executive summary.

ROI Inputs and Assumptions

Payment Terms

In consideration for the services described herein, Organization shall pay Supervisor the amounts and according to the schedule set forth below.

Late fee is calculated as the stated percentage per month on any overdue amount, compounded monthly, and shall be charged in addition to all other remedies available at law or in equity.

Term and Termination

This Agreement commences on the Effective Date and continues until the earlier of the completion of the services described in the Scope of Work or the End Date below, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure within the notice period specified above. Termination for convenience by Organization requires provision of the notice period above and payment for work performed through the termination date plus reasonable wind-down costs.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that: (a) is or becomes generally available to the public other than as a result of disclosure by the receiving party; (b) was lawfully in the receiving party's possession prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party’s confidential information.

A receiving party may disclose confidential information as required by law or valid governmental order, provided that the receiving party gives the disclosing party prompt written notice of such requirement to allow the disclosing party to seek a protective order or other appropriate remedy. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, or longer as required by law for specific categories of information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement, including any exhibits and attachments incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Approvals and Certifications

Supervisor certifies that the assumptions and methodologies used in the ROI analysis are, to the best of Supervisor's knowledge, reasonable and supported by available data. Organization acknowledges that projections are estimates and actual results may vary.

Supervisor approves the proposed ROI analysis and recommends proceeding with the project subject to the terms herein.
