SUPPLEMENT AGREEMENT

This Supplement Agreement (the "Supplement") is made effective as of by and between:

Recitals

WHEREAS, Client and Service Provider entered into a prior agreement titled "" dated (the "Original Agreement");

WHEREAS, the parties desire to supplement and amend certain provisions of the Original Agreement on the terms and conditions set forth in this Supplement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Scope of Work

The following additions, modifications and clarifications shall be incorporated into the Original Agreement and shall govern the parties' obligations for the supplemental work described below.

Payment Terms

In consideration for the supplemental work, Client shall pay Service Provider the amounts and according to the schedule set forth below. All payments are due in U.S. dollars unless otherwise agreed in writing.

Late Payment: Any undisputed past-due amount shall accrue a late fee of per month on the outstanding balance, compounded monthly, or the maximum lawful rate if lower. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred to collect overdue amounts.

Term and Termination

Term: The Supplement shall commence on and, unless earlier terminated in accordance with this Section, shall continue until (the "Term").

Termination for Convenience: Either party may terminate this Supplement for any reason upon providing days' prior written notice to the other party.

Termination for Cause: Either party may terminate this Supplement immediately upon written notice if the other party materially breaches this Supplement and fails to cure such breach within 15 days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Supplement. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Exceptions: Confidential Information shall not include information that: (a) is or becomes generally available to the public through no breach of this Supplement by the Receiving Party; (b) was known to the Receiving Party prior to disclosure as evidenced by written records; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.

Remedies: The parties acknowledge that a breach of this Confidentiality provision would cause irreparable harm for which monetary damages may be an inadequate remedy and that, in addition to any other remedies available at law or in equity, the Disclosing Party shall be entitled to seek injunctive relief to prevent such breach.

Governing Law

This Supplement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Exclusive venue for any dispute arising out of or relating to this Supplement shall lie in the state or federal courts located in that State.

Entire Agreement

This Supplement, together with the Original Agreement and any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Except as expressly modified by this Supplement, all terms and conditions of the Original Agreement remain in full force and effect.

Amendment: No amendment or modification of this Supplement shall be effective unless made in writing and signed by both parties.

Counterparts and Execution

This Supplement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic image or other electronic means shall be binding.
