This Supplemental Business Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider Name: (each a Party and together the Parties).

RECITALS

WHEREAS, the Parties entered into a prior agreement entitled Master Agreement Reference: dated (the Master Agreement); and

WHEREAS, the Parties wish to supplement certain terms and to set forth additional responsibilities, deliverables, and payment provisions as described herein to govern specific additional services; and

WHEREAS, the Parties acknowledge that the supplemental terms in this Agreement shall control to the extent of any conflict with the Master Agreement with respect to the subject matter set forth below.

SCOPE OF WORK

The Service Provider shall perform the supplemental services described below in a professional and workmanlike manner consistent with industry standards and in accordance with the schedule and milestones set forth in this Agreement.

DELIVERABLES AND MILESTONES

Deliverables shall be completed and accepted according to the schedule below. Acceptance shall occur upon Client's written confirmation that the deliverable conforms materially to the Scope of Work.

PAYMENT TERMS

In consideration for the Services, Client shall pay Service Provider the fees and expenses set forth below in accordance with the invoicing requirements and schedule described herein.

All undisputed invoices are due within days of receipt. In addition to the Late Payment Fee above, amounts not paid when due shall accrue interest at the lesser of per month or the maximum permitted by law.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and, unless earlier terminated in accordance with this Section, shall terminate on End Date: .

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure the breach within days after written notice. Either Party may terminate without cause by providing days' prior written notice to the other Party. Termination shall not relieve Client of its obligation to pay for Services performed through the effective date of termination.

CONFIDENTIALITY

Each Party shall keep confidential and shall not disclose to any third party any Confidential Information of the other Party, except as required by law or as necessary to perform under this Agreement. Confidential Information means information that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The obligations in this Section shall remain in effect for a period of months following termination or expiration of this Agreement.

INTELLECTUAL PROPERTY AND WORK PRODUCT

Unless otherwise agreed in writing, Service Provider grants to Client a nonexclusive, perpetual, worldwide license to use deliverables created specifically for Client under this Agreement. Service Provider retains ownership of its preexisting materials, tools, methodologies and general know-how. Any third-party components incorporated into deliverables shall be subject to their respective license terms, which Service Provider shall disclose.

REPRESENTATIONS, WARRANTIES, AND INDEMNIFICATION

Each Party represents that it has the right and authority to enter into this Agreement. Service Provider warrants that Services will be performed in a professional manner consistent with generally accepted industry standards. Client and Service Provider each agree to indemnify and hold harmless the other Party for third-party claims arising from their respective gross negligence or willful misconduct in connection with this Agreement, subject to applicable limitations and exclusions of liability.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with the referenced Master Agreement and any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings. No amendment shall be effective unless in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The Parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, or employment relationship. Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party, except to an affiliate or successor in connection with a merger or sale of substantially all assets.
