SUPPLEMENTARY SERVICE CONTRACT

This Supplementary Service Contract (the "Supplement") is entered into as of Effective Date: by and between Service Provider: and Client: . This Supplement supplements and modifies the Service Agreement dated (the "Agreement") between the parties.

RECITALS

WHEREAS, Provider and Client entered into the Agreement to govern provision of services; and

WHEREAS, the parties desire to document additional services, fees, and modifications to certain terms of the Agreement as set forth in this Supplement; and

WHEREAS, the parties intend that the terms of this Supplement shall govern the additional services described herein and be read together with the Agreement.

NOW, THEREFORE, in consideration of the covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SCOPE OF ADDITIONAL SERVICES

1.1 Provider shall perform the additional services described below (the "Additional Services"). Provider shall perform Additional Services in a professional and workmanlike manner consistent with industry standards.

2. TERM; TERMINATION

2.1 Term. The term for the Additional Services shall commence on Commencement Date: and continue until Completion Date: , unless earlier terminated pursuant to this Section.

2.2 Termination for Convenience. Either party may terminate this Supplement for convenience upon providing Notice Period: days' prior written notice to the other party.

2.3 Effect of Termination. Upon termination, Provider shall deliver work in progress and Client shall pay for work properly performed through the effective date of termination in accordance with Section 3.

3. COMPENSATION AND PAYMENT

3.1 Fees. As full compensation for the Additional Services, Client shall pay Provider the amounts set forth below. Fees shall be invoiced and payable in accordance with Section 3.2.

3.2 Invoicing and Payment. Provider shall submit invoices to Client at the address specified in Section 9. Unless otherwise agreed, invoices are due and payable within Payment Due Days: days from invoice date. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum lawful rate.

4. CHANGES; WORK ORDERS

4.1 Change Procedure. Any material change to the Additional Services, schedule, or fees shall be documented in a written change order signed by authorized representatives of both parties. No change order shall be effective unless executed in writing.

5. CONFIDENTIALITY

5.1 Confidentiality Obligations. Each party shall maintain in confidence all Confidential Information of the other party disclosed in connection with the Additional Services and shall not use Confidential Information except as necessary to perform its obligations hereunder. The parties' confidentiality obligations under the Agreement continue to apply to the Additional Services.

6. INTELLECTUAL PROPERTY

6.1 Ownership of Work Product. Unless otherwise expressly agreed in a signed writing, Provider hereby grants Client a non-exclusive, worldwide, royalty-free license to use deliverables produced specifically for Client under this Supplement for Client's internal business purposes. To the extent the parties intend assignment of intellectual property rights, the parties shall execute a written assignment signed by both parties.

7. WARRANTIES; DISCLAIMER

7.1 Provider Warranties. Provider warrants that the Additional Services will be performed in a professional manner in accordance with generally accepted industry standards. For any breach of this warranty, Client's sole and exclusive remedy shall be re-performance of the deficient services or, if Provider fails to re-perform, a refund of fees paid for the deficient services.

7.2 DISCLAIMER. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

8.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's gross negligence or willful misconduct in connection with this Supplement.

8.2 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S INDEMNITY OBLIGATIONS OR A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EACH PARTY ARISING OUT OF OR IN CONNECTION WITH THIS SUPPLEMENT SHALL NOT EXCEED Liability Cap:

9. NOTICES

9.1 All notices, requests, consents and other communications required or permitted under this Supplement shall be in writing and shall be delivered to the addresses set forth below or such other address as either party designates by written notice.

10. INSURANCE

10.1 Provider shall maintain during the term commercial general liability and professional liability insurance appropriate to the Additional Services and in amounts reasonably acceptable to Client. Upon request, Provider shall provide certificates evidencing such coverage.

11. AMENDMENT; WAIVER; COUNTERPARTS

11.1 Amendment. This Supplement may only be amended by a written instrument signed by authorized representatives of both parties.

11.2 Waiver. No failure or delay by either party in exercising any right under this Supplement shall operate as a waiver of that right.

11.3 Counterparts. This Supplement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Supplement shall be governed by and construed in accordance with the laws of Governing Jurisdiction:

12.2 Entire Agreement. This Supplement together with the Agreement and any documents referenced therein constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, understandings and representations.

12.3 Severability. If any provision of this Supplement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely approximates the parties' original intent.

13. MISCELLANEOUS

13.1 Relationship of the Parties. The parties are independent contractors. Nothing in this Supplement shall be construed to create a partnership, joint venture, employment relationship, or agency.

13.2 Survival. The provisions of this Supplement which by their nature survive termination or expiration of this Supplement shall so survive, including but not limited to Sections 3, 5, 6, 8, 12 and this Section 13.
