RECITALS

WHEREAS, Purchaser has requested that Supplier provide certain goods and/or services described as: (the "Goods/Services"); and

1. DEFINITIONS

For purposes of this Affidavit: "Affiliate" means any entity that controls, is controlled by, or is under common control with a party; "Contract" means any purchase order, contract, or agreement between Supplier and Purchaser.

2. REPRESENTATIONS AND WARRANTIES OF SUPPLIER

2.1 Authority and Existence. Supplier is duly organized, validly existing and in good standing under the laws of the state of , has full power and authority to execute and deliver this Affidavit and to perform its obligations under any Contract with Purchaser.

2.2 Truthfulness of Provided Information. All information, statements, certifications and documents submitted by Supplier to Purchaser in connection with procurement or performance are true, complete and correct to the best of Supplier's knowledge, and no material fact has been omitted.

2.3 Non‑Debarment; No Exclusions. Supplier and any of its principals or key personnel are not debarred, suspended, proposed for debarment, declared ineligible, or otherwise excluded from participation in federally assisted programs or from doing business with governmental entities, nor are they listed on any government exclusion list of which Supplier is aware.

2.4 Compliance with Laws. Supplier will comply with all applicable local, state and federal laws, rules and regulations applicable to the performance of the Contract, including without limitation tax, labor, employment, environmental, export control, and anti‑corruption laws.

3. TAX, LICENSING AND INSURANCE

3.1 Tax Identification. Supplier's Taxpayer Identification Number (TIN/EIN) is .

3.2 Licenses. Supplier holds all licenses, permits and authorizations necessary to perform the Goods/Services and will maintain such licenses in good standing throughout performance.

3.3 Insurance. Supplier shall maintain insurance coverage as required by the Contract and will provide certificates of insurance upon Purchaser's request.

4. CERTIFICATIONS

4.1 No Conflicts of Interest. To the best of Supplier's knowledge, the execution and performance of the Contract will not create a conflict of interest or violate any duty owed to any third party.

4.2 No Bribery or Improper Payments. Supplier certifies that neither it nor any employee, agent or representative has, directly or indirectly, offered, given, or agreed to give any gift, money, or thing of value to any public official or third party for the purpose of obtaining or retaining business in violation of anti‑corruption laws.

4.3 Labor and Human Rights. Supplier certifies compliance with applicable labor and employment laws, including laws regarding minimum wage, child labor, forced labor, and workplace safety.

5. NOTICE OF MATERIAL CHANGE

Supplier shall notify Purchaser in writing within five (5) business days of any event that would render any representation, warranty, or certification in this Affidavit untrue or misleading. Notification must be sent to the Notices contact set forth below.

6. REMEDIES; INDEMNITY

If Supplier breaches any representation or warranty contained in this Affidavit, Purchaser may, at its option, suspend payments, withhold acceptance of Goods/Services, terminate the Contract for cause, seek damages, and recover reasonable attorneys' fees and costs. Supplier agrees to indemnify and hold Purchaser harmless from any liability, loss or expense arising from Supplier's breach of this Affidavit.

7. FALSE STATEMENTS; PENALTIES

Supplier acknowledges that knowingly submitting false statements or material omissions in procurement or contracting matters may subject Supplier to civil or criminal penalties under applicable law, including termination of contracts, fines, and other sanctions.

9. GOVERNING LAW; VENUE

This Affidavit and any disputes arising under or in connection with it shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any action shall be in the courts of competent jurisdiction within that State.

10. ENTIRE AGREEMENT; SEVERABILITY

If any provision of this Affidavit is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
