The Supplier represents and warrants that: (a) all goods and services provided will conform to the specifications and be free from defects in material and workmanship; (b) Supplier will comply with all applicable laws, regulations, and industry standards in the performance of its obligations; (c) Supplier has the full right and authority to enter into this Form and to perform its obligations; and (d) Supplier will maintain insurance, licenses and permits required by law.

Indemnification: Supplier shall indemnify, defend and hold harmless the Company and its officers, directors and employees from and against any third-party claims, losses, liabilities, costs and expenses arising out of Supplier's breach, negligence, willful misconduct, or violation of law in supplying goods or services.

Confidentiality

The parties acknowledge that during the course of the relationship each party may receive Confidential Information of the other. "Confidential Information" means non-public information disclosed in any form. The receiving party shall (a) use Confidential Information solely for the purposes of performing obligations under this Form; (b) limit disclosure to personnel with a need to know and who are bound by obligations of confidentiality; and (c) take commercially reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential information shall not include information that is or becomes public through no fault of the receiving party.

Governing Law; Entire Agreement

Governing Law: This Form shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement: This Form, together with any referenced purchase orders and attachments executed in writing by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior or contemporaneous oral or written agreements, representations, and understandings. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
