RECITALS

WHEREAS Supplier Name: is engaged in the business of supplying goods and/or services as described herein; and

WHEREAS Client Name: desires to procure such goods and/or services from Supplier on the terms set forth in this letter agreement (the "Agreement"); and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

SCOPE OF WORK

Supplier shall provide the goods and/or services described below in accordance with the specifications, quantities, schedules, and performance standards set forth.

PAYMENT TERMS

Total Contract Amount: $ (USD). Payments shall be made in accordance with the schedule below and subject to the invoicing and acceptance provisions herein.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the highest rate permitted by applicable law until paid. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Supplier in collecting overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach if such breach remains uncured for thirty (30) days after written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public business, technical or financial information disclosed by the other party (the "Disclosing Party") and designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that: (a) is or becomes generally known to the public other than through a breach of this Agreement; (b) was in the Receiving Party's possession without restriction prior to receipt; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's confidential information.

The Receiving Party may disclose Confidential Information to the extent required by law or court order, provided the Receiving Party gives the Disclosing Party prompt written notice and cooperates in any lawful effort to limit such disclosure.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice in accordance with this section. Notice shall be deemed given upon personal delivery, one (1) business day after delivery to a nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, first-class postage prepaid.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Exclusive venue for any dispute arising out of or relating to this Agreement shall be the state and federal courts located within such state.

ENTIRE AGREEMENT

This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to an affiliate or to a successor in interest in connection with a merger or sale of substantially all of its assets.

Independent Contractor: Supplier is an independent contractor and nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.
