SUPPLIER CERTIFICATION AGREEMENT

This Supplier Certification Agreement ("Agreement") is entered into as of Effective Date: by and between Supplier Name: (hereafter "Supplier"), an entity organized as Corporation LLC Partnership Other , with principal place of business at ; and Buyer Name: with principal place of business at .

RECITALS

WHEREAS, Buyer purchases goods and/or services from Supplier and requires Supplier to certify compliance with applicable laws, contractual requirements and Buyer policies; and

WHEREAS, Supplier represents that it has the capacity, systems and controls necessary to comply with the certifications and obligations set forth in this Agreement; and

WHEREAS, the parties desire to set forth Supplier's certifications and the remedies available to Buyer in the event of non-compliance.

NOW THEREFORE, in consideration of mutual promises and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, "Goods" means the products and components supplied by Supplier under any purchase order or contract identified by Purchase Order Number: . "Services" means services supplied under the same agreements.

2. CERTIFICATIONS

Supplier hereby certifies that, as of the Effective Date and for the duration of performance under any purchase order or contract with Buyer, Supplier and its subcontractors shall comply with the following:

(a) Legal Compliance: Supplier shall comply with all applicable laws, statutes, regulations and ordinances relating to the manufacture, packaging, labeling, importation, exportation, sale and distribution of the Goods and performance of Services, including but not limited to employment, health and safety, environmental, and product safety laws.

(b) Anti-Corruption and Trade Controls: Supplier represents and warrants that it has not and will not engage in bribery, kickbacks, or other corrupt practices and will comply with all applicable anti-corruption and trade control laws. Supplier further certifies that no Goods are subject to export restrictions or sanctions that would prohibit sale to Buyer.

(c) Labor and Human Rights: Supplier certifies that it does not use forced labor, human trafficking or child labor and that it meets all applicable labor standards. Supplier shall maintain policies and due diligence to ensure compliance.

(d) Conflict Minerals and Sourcing: To the extent applicable, Supplier shall exercise due diligence with its supply chain to determine whether any materials are derived from conflict sources and shall provide truthful responses to Buyer inquiries. Supplier certifies that it has provided accurate sourcing information in the fields below.

(e) Quality and Product Conformity: Supplier warrants that Goods and Services shall conform to applicable specifications, standards and samples and be free from defects in material and workmanship for the warranty period stated in the applicable purchase order or, if none, for a period of from delivery.

3. REPRESENTATIONS AND DOCUMENTATION

Supplier shall maintain complete and accurate books, records and supporting documentation evidencing compliance with this Agreement and shall, upon reasonable notice, provide such documents or certifications to Buyer. Supplier represents that the information provided in this Agreement and any attachments is true, complete and not misleading.

4. AUDIT RIGHTS AND RECORDS

Buyer, or its authorized representatives, shall have the right to audit Supplier's facilities, books and records related to the Goods and Services to verify compliance with this Agreement. Audits shall be conducted during normal business hours upon reasonable notice, provided that in the case of suspected non-compliance Buyer may audit with minimal notice. Supplier shall retain records for a period of following delivery.

5. REMEDIES, RECALLS AND CORRECTIVE ACTION

If Goods are non-conforming or Supplier otherwise breaches a certification, Buyer may (in addition to other rights) reject the Goods, require replacement or repair at Supplier's expense, require immediate corrective action, and recover consequential and recall costs. Supplier shall promptly notify Buyer of any circumstances that could result in a product recall and shall cooperate in any recall or corrective action.

6. INDEMNIFICATION

Supplier shall indemnify, defend and hold Buyer harmless from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Supplier's breach of this Agreement, negligent acts or omissions, willful misconduct, or the manufacture, sale or delivery of defective Goods.

7. INSURANCE

Supplier shall maintain at its expense insurance coverage customary for its industry and sufficient to support its obligations under this Agreement, including commercial general liability, product liability and workers' compensation insurance with minimum limits:

8. TERM AND TERMINATION

This Agreement commences on the Effective Date and continues for the term of the parties' purchasing relationship unless earlier terminated. Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure within after written notice.

9. CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other that is identified as confidential or that reasonably should be understood to be confidential. Confidential information may not be used except to perform obligations under this Agreement and shall not be disclosed except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested) or nationally recognized courier. Notices shall be effective upon receipt.

11. AMENDMENTS AND WAIVER

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement.

12. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Agreement.

13. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with any referenced purchase orders or attachments, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior discussions and agreements. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted electronically or by facsimile shall be effective as originals.
