SUPPLIER CODE AGREEMENT

This Supplier Code Agreement ("Agreement") is entered into effective as of by and between:

Parties

RECITALS

WHEREAS, Supplier provides goods and/or services used in the Company's operations and has represented that Supplier operates in compliance with lawful business practices and applicable regulatory requirements; and

WHEREAS, Company requires that certain suppliers follow standards of conduct, confidentiality, product quality and delivery, and seeks to document mutual expectations in respect of those standards; and

WHEREAS, Supplier agrees to perform its obligations under this Agreement in accordance with the terms and conditions set forth herein.

SCOPE OF WORK

Supplier shall provide goods and/or services as further described below and in any mutually executed purchase order or statement of work. The Supplier shall perform professionally, in a timely manner, and in accordance with industry standards.

PAYMENT TERMS

The Company will pay Supplier in consideration for the goods and/or services described above in accordance with the terms set forth below.

Supplier shall invoice Company in accordance with the payment schedule. Each invoice shall reference the applicable purchase order or statement of work. Payments not made within the agreed terms shall accrue the Late Payment Fee applied to the outstanding balance. Supplier may suspend performance only after thirty (30) days' prior written notice and opportunity for Company to cure a payment default.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement upon written notice to the other if the other party materially breaches any obligation hereunder and fails to cure such breach within the Notice Period. Termination for convenience by Company requires thirty (30) days' prior written notice and payment for work performed through the effective termination date.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Supplier shall: (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information except to employees or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

The obligations under this section do not extend to information that: (i) is or becomes generally available to the public other than by breach; (ii) was in the receiving party's lawful possession prior to disclosure; or (iii) is independently developed without use of the disclosing party's Confidential Information.

Supplier acknowledges and agrees to comply with the confidentiality obligations set forth above.

COMPLIANCE AND STANDARDS

Supplier represents and warrants that all goods and services will comply with applicable laws, regulations, and agreed specifications. Supplier shall maintain all permits, licenses and approvals required to perform under this Agreement and shall permit Company to audit compliance with material obligations upon reasonable notice.

Supplier certifies that it operates in accordance with applicable employment, health and safety, and environmental laws and will not use forced labor or child labor in connection with goods or services supplied to Company.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or Supplier's breach of confidentiality or infringement of intellectual property, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of either party for any claim arising under this Agreement shall be limited to the total amounts paid or payable to Supplier under the applicable purchase order in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attached statements of work, purchase orders and written amendments duly executed by authorized representatives of both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, representations and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest to all or substantially all of its business. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
