Confidentiality obligations shall survive termination for a period of three (3) years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Supplier shall maintain insurance appropriate to the work performed and shall provide certificates of insurance upon request. Supplier represents and warrants that it shall comply with all applicable laws, regulations and industry standards in performing its obligations.



Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of courts located in that state for disputes arising under this Agreement.

This Agreement, together with any attachments, exhibits or purchase orders expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior proposals, negotiations and agreements, whether written or oral. Any amendment to this Agreement must be made in writing and signed by authorized representatives of both parties.
