SUPPLIER INFORMATION FORM AND AGREEMENT

This Supplier Information Form and Agreement (the Agreement) is entered into between the Company and the Supplier as of the Effective Date identified below. The parties intend by this instrument to record supplier contact, tax and payment information and to set forth basic commercial terms and mutual commitments applicable to the supply of goods and/or services described herein.

WHEREAS, Company desires to obtain certain goods and/or services from Supplier and requires Supplier to provide accurate organizational, tax and banking information prior to receiving purchase orders; and

WHEREAS, Supplier represents that it is duly organized and authorized to provide the goods and/or services described and agrees to the terms, representations and certifications set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

PAYMENT TERMS

Base payment terms applicable to purchase orders placed by Company to Supplier. Supplier and Company may agree separately to different terms on a purchase order provided such terms are accepted in writing.

TERM AND TERMINATION

This Supplier Information Form and the commitments herein commence on the Effective Date and continue until the End Date or until terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period specified above. Termination shall not relieve Supplier of obligations to fulfill accepted purchase orders unless otherwise agreed in writing.

CONFIDENTIALITY

Supplier acknowledges that in connection with performance it may receive Confidential Information of Company. Supplier shall: (a) hold such Confidential Information in strict confidence; (b) use it solely for the purpose of providing goods and services to Company; (c) restrict disclosure to those employees or subcontractors with a need to know and who are bound by confidentiality obligations at least as restrictive as those hereunder; and (d) return or destroy such Confidential Information upon request. Confidential Information does not include information that is generally known by the public through no fault of Supplier or that Supplier independently develops without reference to Company Confidential Information.

WARRANTIES, REPRESENTATIONS AND COMPLIANCE

Supplier represents and warrants that: (a) it is authorized to enter this Agreement; (b) goods and services provided will conform to agreed specifications and applicable law; (c) it maintains all licenses, permits and insurance required for performance; and (d) it will comply with applicable export controls, trade sanctions and anti-corruption laws. Supplier will promptly notify Company of any material change in facts or circumstances relevant to these representations.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflicts of law principles.

ENTIRE AGREEMENT

This form, together with any executed purchase orders and mutual written agreements, constitutes the entire agreement between the parties respecting the subject matter hereof and supersedes all prior oral or written communications, proposals and understandings. Any amendment must be in writing executed by authorized representatives of both parties.
