1. DEFINITIONS

For purposes of this Waiver, the following terms have the meanings set forth below:

"Goods and Services" means the materials, products, equipment, installations and services supplied by Supplier to Recipient as described here:

"Claims" means any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees and costs of investigation) arising out of or related to the Goods and Services or this Waiver.

2. RELEASE AND WAIVER

Recipient, on behalf of itself and its affiliates, successors and assigns, hereby forever releases, waives, discharges and covenants not to sue Supplier, its officers, directors, employees, agents and contractors (collectively "Supplier Released Parties"), from any and all Claims arising out of or in connection with the Goods and Services, including but not limited to personal injury, property damage, loss of use, contamination, economic loss or business interruption, whether known or unknown, foreseen or unforeseen, except to the extent such Claims are the direct result of Supplier's gross negligence or willful misconduct.

3. INDEMNIFICATION

To the fullest extent permitted by law, Recipient shall defend, indemnify and hold harmless the Supplier Released Parties from and against any and all Claims arising out of Recipient's negligence, misuse of the Goods and Services, breach of this Waiver, failure to follow Supplier's written instructions, or acts or omissions of Recipient's employees, agents or invitees. This indemnity obligation shall survive termination or expiration of this Waiver.

4. LIMITATION OF LIABILITY

EXCEPT FOR DAMAGES CAUSED BY SUPPLIER'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL SUPPLIER BE LIABLE FOR INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, ARISING OUT OF OR IN CONNECTION WITH THE GOODS AND SERVICES OR THIS WAIVER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SUPPLIER'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING HEREUNDER SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO SUPPLIER FOR THE SPECIFIC GOODS OR SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

5. INSURANCE

8. TERM AND TERMINATION

This Waiver shall commence on the Effective Date and continue until all obligations hereunder have been performed or until terminated by mutual written agreement of the Parties. This Waiver shall be governed by and construed in accordance with the laws of the jurisdiction selected by the Parties at the time of execution. Any dispute arising out of or relating to this Waiver shall be resolved exclusively in the courts located in the agreed jurisdiction, and the Parties hereby submit to the personal jurisdiction of such courts.

What a Supplier Liability Waiver Is and When It Applies

A Supplier Liability Waiver is a written agreement in which a supplier or contracting party agrees to release, limit, or allocate liability related to goods, services, or conduct arising during performance. The waiver defines which claims are covered, the effective period, and obligations such as indemnification or insurance evidence. Organizations use it to clarify risk allocation between buyers and suppliers for discrete projects, site access, product testing, or service delivery where one party assumes certain operational risks.

Why a Clear Waiver Benefits Procurement and Risk Teams

A clear Supplier Liability Waiver reduces dispute risk, documents agreed limits on exposure, and clarifies insurance and indemnity obligations. Properly drafted waivers support contract certainty, can expedite onboarding, and provide defensible evidence of consent under ESIGN (15 U.S.C. ch. 96) and UETA where electronic execution is used.

Why a Clear Waiver Benefits Procurement and Risk Teams

Who Commonly Completes Supplier Liability Waivers

Procurement and risk teams draft or request waivers when engaging external suppliers for site work, equipment testing, or specialized services.

  • Procurement managers requesting supplier acceptance of risk allocation and insurance proof before work begins.
  • Risk and insurance teams verifying indemnity, limits, and certificate of insurance requirements.
  • In-house counsel reviewing enforceability and customizing jurisdictional language for state law differences.

Legal review is recommended for unusual exposure language, state-specific limits, or when waivers attempt to disclaim gross negligence or statutory claims.

Core Elements to Include in a Professional Supplier Liability Waiver

A complete waiver is concise but detailed: identify parties, specify the scope of the waiver, state the effective period, allocate responsibility for negligence and indemnity, require insurance evidence, and include signature and execution details.

Parties

Full legal names of supplier and hiring company, including any DBA or parent entity, to avoid ambiguity about who is bound.

Scope

Clear description of the activities, locations, and types of claims covered by the waiver so neither party over-reads the release.

Duration

Effective start and end dates, or event-based triggers, to define when the waiver applies and when obligations terminate.

Indemnity

If present, precise indemnity language describing triggered losses, limits, and whether indemnity survives termination.

Insurance

Insurance requirements and certificate of insurance instructions, including minimum limits, additional insured status, and notice provisions.

Execution

Signature blocks with printed names, titles, dates, and any witness or notarization fields required by law or internal policy.

Essential Data Fields to Capture

Supplier Name: Full legal entity
Company Name: Full hiring party
Scope Description: Activity details
Effective Date: MM/DD/YYYY
Insurance Limits: Policy minima
Signature Block: Signer name/title

Step-by-Step: Completing a Supplier Liability Waiver

Follow these sequential steps to prepare, review, and execute a waiver that is clear and more likely to be enforceable.

  • 01
Prepare Draft: Describe activities, parties, and exclusions precisely.
  • 02
Assign Review: Send draft to legal and risk for review and redlines.
  • 03
Confirm Insurance: Obtain certificate of insurance confirming required coverage.
  • 04
Execute: Collect signatures and store the executed document securely.

How to Configure an Online Waiver Workflow

Set up fields and authentication to match your risk profile and compliance requirements before sending the waiver for signature.

Field Configuration
Authentication Method Email link or SMS code
Required Fields Legal name, date, insurance lines
Conditional Logic Show insurance upload if checkbox selected
Retention Settings Store signed PDF with audit trail

Where to Send or File an Executed Supplier Waiver

Choose destinations based on governance: contracting team, risk management, and the supplier each need a copy; store the executed file in a controlled repository.

  • Contracting Team: Primary repository for contract records.
  • Risk Management: Keep insurance proofs and incident notes.
  • Supplier: Provide an executed copy for supplier records.
  • Central Archive: Retain final PDF with audit trail.

Digital Signing and Distribution Considerations

Use an eSignature platform that preserves an audit trail, supports required authentication, and exports a tamper-evident PDF for long-term storage.

  • File Formats: PDF, DOCX, HTML
  • Integrations: Salesforce, NetSuite
  • Authentication: Email, SMS, KBA

Ensure the chosen platform supports HIPAA and 21 CFR Part 11 if applicable, provides AES-256 at-rest encryption and TLS for transit, and exports audit trails and certificate-of-completion records for compliance.

Typical Timing and Processing Expectations

Establish clear internal deadlines for review, insurance verification, and execution to avoid delays in onboarding suppliers or starting work.

Draft Review Window:

3–5 business days for legal and risk review

Insurance Verification:

Confirm certificate within 5 business days

Execution Deadline:

60 days for signed return commonly used

File Retention Start:

Retention begins on execution date

Claim Notice Period:

Follow contract-specified notice timelines

Common Mistakes to Avoid When Preparing a Waiver

  • Using broad language that attempts to waive gross negligence or statutory rights, which courts may refuse to enforce.
  • Failing to match the legal entity name to tax or formation records, creating enforceability and payment problems.
  • Skipping insurance verification and accepting provisional or expired certificates without confirmation from the insurer.
  • Not defining the scope and locations clearly, leaving uncertainty about which activities the waiver covers.

Risks and Potential Consequences of an Incorrect Waiver

Unenforceable Waiver: Waiver may be voided
Insurance Gaps: Claims not covered
Contract Disputes: Increased litigation risk
Regulatory Exposure: Statutory claims survive
Operational Delays: Work may be postponed
Financial Loss: Higher unexpected costs

How to Update or Amend an Existing Waiver

Follow a controlled amendment process to ensure changes are authorized, documented, and executed by the proper signatories.

01

Identify Need:

Document the reason for amendment and impacted provisions
02

Draft Amendment:

Use clear language and reference original effective date
03

Obtain Approvals:

Get internal legal and risk sign-off before circulation
04

Execute Amendment:

Collect signatures from all parties required
05

Attach Records:

Attach amendment to original contract file
06

Redistribute:

Provide executed copies to stakeholders
