10. Confidentiality

Supplier acknowledges that during the onboarding process and in the performance of any resulting procurement, Supplier may receive or have access to non-public, proprietary, or confidential information of Company ("Confidential Information"). Supplier shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to any third party except as required by law or with Company’s prior written consent; and (c) use Confidential Information solely for the purpose of performing obligations under this relationship. Confidential Information does not include information that is or becomes publicly known through no wrongful act of Supplier or that Supplier can demonstrate was in its possession prior to disclosure.

11. Governing Law; Entire Agreement

This Questionnaire, together with any referenced procurement agreement executed by the parties, shall be governed by and construed in accordance with the laws of the governing_state specified by Company at the time of contract award. Any disputes arising out of or relating to this Questionnaire shall be resolved in the courts of the applicable jurisdiction selected in any subsequent procurement agreement.

This document, together with any future executed purchase order or supply agreement, constitutes the entire understanding between Company and Supplier regarding the subject matter herein and supersedes all prior or contemporaneous communications and proposals, whether oral or written, concerning such subject matter.
