Scope of Work

Term and Termination

Purchaser may terminate for cause if Supplier breaches any material certification and fails to cure within days after written notice. Termination does not relieve Supplier of obligations accrued prior to termination.

Confidentiality

Supplier will maintain in confidence all non-public information disclosed by Purchaser and will not use such information except to perform obligations hereunder. Supplier shall implement reasonable safeguards to prevent unauthorized disclosure. The confidentiality obligations shall survive termination for a period of years, unless a longer period is required by law.

Governing Law

This certification and any dispute arising out of it shall be governed by and construed in accordance with the laws of the state of without regard to choice of law principles.

Entire Agreement

This document, together with any referenced purchase orders, statements of work or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
