Supplier Safety Compliance Agreement

This Supplier Safety Compliance Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Company engages Supplier to supply goods and/or perform services at Company locations or on behalf of Company, and Company requires that all suppliers adhere to safety and health standards designed to protect personnel, property and the environment; and

WHEREAS, Supplier represents that it maintains industry-standard safety programs, training, insurance and will comply with the safety requirements set forth in this Agreement while performing work or delivering goods to Company; and

WHEREAS, the parties desire to document Supplier’s safety obligations, audit rights, reporting requirements and remedies for noncompliance.

Scope of Work

Supplier shall perform the work or deliver the goods as described below and in any attached purchase orders, work orders or statements of work. Supplier's obligations under this Agreement include compliance with the safety requirements set forth herein in all performance.

Safety and Compliance Obligations

Supplier shall at all times: comply with all applicable federal, state and local safety, health and environmental laws and regulations; follow Company safety rules when on Company premises; and maintain programs to prevent accidents and exposures.

Payment Terms

Company shall pay Supplier for the goods and services described in the Scope of Work in accordance with the following terms. Payment is contingent on satisfactory performance and compliance with the safety obligations in this Agreement.

Late payments shall accrue interest at the lesser of the state statutory maximum or on the overdue balance.

Term and Termination

This Agreement commences on the Effective Date and continues until the completion of the Scope of Work or until terminated as provided below.

Either party may terminate this Agreement immediately for material breach of safety obligations or for repeated violations after written notice and failure to cure within the notice period described above. Termination for cause shall not relieve Supplier of liability for losses caused by its breach.

Confidentiality

Each party shall keep confidential and not disclose to any third party any proprietary or confidential information disclosed in connection with this Agreement, except as required for performance, by law, or with the prior written consent of the disclosing party. Confidential information shall be used solely for the performance of this Agreement. This obligation survives termination for a period of three years except for trade secrets which shall remain protected for as long as they qualify as trade secrets.

Representations, Indemnity and Insurance

Supplier represents that it has the experience, personnel, equipment and insurance required to perform safely. Supplier shall indemnify, defend and hold harmless Company and its officers, agents and employees from and against all claims, losses, liabilities and expenses arising out of Supplier's negligent acts, omissions or willful misconduct in performance of this Agreement. Supplier shall maintain insurance described in the Insurance requirements field and provide certificates of insurance upon request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any purchase orders, statements of work and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings. Any amendment must be in writing and signed by authorized representatives of both parties.

Notices under this Agreement shall be in writing and delivered to the contact information provided below.

Acknowledgment

By signing below, Supplier affirms that the information provided in this Agreement is true and complete, that Supplier will perform in accordance with the safety obligations set forth herein, and that Supplier has authority to enter into this Agreement on behalf of the Supplier entity.
