PAYMENT TERMS

The following payment terms apply to work associated with this form unless otherwise stated in the controlling contract.

TERM AND TERMINATION

This compliance obligation begins on Effective Date: and continues until End Date: unless earlier terminated in accordance with the terms below.

Either party may terminate this compliance arrangement for cause upon material breach by the other party that remains uncured after Notice Period (days): days' written notice. Immediate suspension of site access may be effected by Client for safety-critical breaches.

CONFIDENTIALITY

Each party shall keep confidential all nonpublic information disclosed in connection with the work, including safety incident details and corrective action reports, and shall not disclose such information except to regulatory authorities or as required by law. Confidential information shall be used solely for the performance and enforcement of health, safety, and contractual obligations.

AUDIT RIGHTS & REMEDIES

Client reserves the right to audit Supplier safety records, training documents, insurance certificates, and incident reports upon reasonable notice. Failure to produce required documentation or repeated safety violations constitute material breach and entitle Client to suspend work and pursue remedies available under contract or law.

GOVERNING LAW; ENTIRE AGREEMENT

This Supplier Safety Compliance Form shall be governed by the laws selected by the controlling contract between the parties. If no governing law is specified therein, the parties agree that the laws of the jurisdiction where the Site is located shall govern. This form, together with the controlling contract documents, constitutes the entire agreement concerning supplier safety obligations and supersedes prior oral or written representations regarding safety for the work described.
