Either party may terminate for material breach if the breaching party fails to cure within the stated notice period. Termination does not relieve Supplier of obligations incurred prior to termination, including delivery, warranty, and indemnity obligations.

CONFIDENTIALITY

Supplier and Company shall each treat as confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is (i) publicly known through no fault of the receiving party; (ii) independently developed by the receiving party without use of disclosing party's Confidential Information; or (iii) required to be disclosed by law, provided that the receiving party provides prompt written notice and, to the extent permitted, cooperates in seeking confidential treatment.

GOVERNING LAW

This Supplier Setup Form and any disputes arising from or related to the supplier relationship shall be governed by and construed in accordance with the laws of the state specified by Company below, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

ENTIRE AGREEMENT

This Supplier Setup Form, together with any mutually executed purchase orders, statements of work, and attachments, constitutes the entire agreement between the parties regarding onboarding and payment mechanics, superseding prior communications and representations. Any modifications must be made in writing and signed by authorized representatives of both parties.
