WHEREAS, Supplier: has capacity to provide those supplies on the terms set forth below.

NOW, THEREFORE, Requestor and Supplier agree to the terms set forth in this Supplies Request and Procurement Agreement.

Scope of Work

The Supplier shall supply, package, label and deliver the goods described in the Itemized Request below in accordance with the specifications, quantities and delivery schedule set forth. The Supplier shall ensure goods are new, conform to applicable industry standards and are free from defects in material and workmanship.

Payment Terms

Supplier shall invoice Requestor upon shipment or delivery, as agreed. Unless otherwise stated on an approved purchase order, Requestor shall pay Supplier net within calendar days from receipt of a correct invoice. Payment shall be made in United States Dollars unless otherwise agreed in writing.

Late payments shall accrue interest at the lesser of (a) per month or (b) per invoice. Supplier may suspend deliveries for invoices more than days overdue upon written notice.

Term and Termination

This agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon days' prior written notice. Either party may terminate for material breach that remains uncured for a period of thirty (30) days after written notice specifying the breach. Termination does not relieve Requestor of payment for delivered goods or Supplier of obligations incurred prior to termination.

Confidentiality

Each party shall maintain in strict confidence all non-public commercial, technical and business information disclosed by the other party that is designated as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly known through no breach by the receiving party, or that is rightfully obtained from a third party without restriction. Confidential Information shall be used solely to perform obligations under this request and shall be protected for a period of three (3) years after disclosure.

Governing Law

This Supplies Request and Procurement Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

Entire Agreement

This document, together with any approved purchase orders and attachments expressly incorporated herein, constitutes the entire agreement between Requestor and Supplier regarding the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
