This Supply Agreement (the "Agreement") is entered into as of Effective Date: by and between Supplier Name: ("Supplier") and Buyer Name: ("Buyer").

Recitals

WHEREAS, Supplier is engaged in the manufacture, supply and sale of the goods and materials described in this Agreement and possesses the necessary facilities, personnel and expertise to furnish such goods;

WHEREAS, Buyer requires the supply of such goods for its business operations and desires to procure such goods on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the parties agree as follows.

Scope of Work

Supplier shall manufacture, provide, deliver and, where applicable, install the goods described below in accordance with the specifications, quantities and schedules agreed by the parties. Supplier shall perform in a professional manner and shall comply with industry standards and any agreed specifications.

Payment Terms

Buyer shall pay Supplier for the goods in accordance with the pricing and schedule set forth below. All amounts are payable in lawful currency of the jurisdiction specified under Governing Law and are exclusive of applicable taxes unless otherwise stated.

Acceptance, Inspection and Warranties

Buyer shall have an inspection and acceptance period of Acceptance Period: following delivery to inspect the goods for conformity to the specifications. Rejected goods shall be returned to Supplier at Supplier's expense and Supplier shall, at Supplier's option, repair or replace such goods promptly.

Supplier warrants that for Warranty Period: from the date of delivery, the goods will conform to the agreed specifications and be free from material defects in materials and workmanship. This warranty is exclusive and is conditioned upon proper use and maintenance by Buyer.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all proprietary or confidential information disclosed by the other party (the "Disclosing Party") and marked or reasonably understood to be confidential, including pricing, specifications, product designs, business plans and customer lists ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes generally available to the public other than by breach of this Agreement; (b) was known to the Receiving Party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall protect Confidential Information using at least the same degree of care it uses to protect its own similar information but in no event less than reasonable care. The confidentiality obligations shall survive termination of this Agreement for Confidentiality Duration (years): .

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within Cure Period (days): days after written notice. Either party may also terminate for convenience upon Notice Period (days): days' prior written notice to the other party.

Termination shall not relieve either party of obligations accrued prior to the effective date of termination, and Sections concerning Confidentiality, Payment, Warranty, Indemnification and Governing Law shall survive termination.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against claims, losses and liabilities resulting from the indemnifying party's breach of this Agreement, negligence or willful misconduct. Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party's aggregate liability for claims arising out of or related to this Agreement shall exceed the total amount paid or payable by Buyer to Supplier under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Governing Jurisdiction: without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising out of this Agreement.

Entire Agreement and Miscellaneous

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Notices under this Agreement shall be in writing and delivered by hand, nationally recognized overnight courier, or registered mail to the notice addresses above (or such other address as a party may designate in writing). Notice is effective upon receipt.
