Recitals

WHEREAS, Client Name: seeks technical and operational support services related to the JDE application environment; and

WHEREAS, Service Provider Name: represents that it has the personnel, experience, and ability to provide such support in accordance with the terms set forth in this Support Document JDE; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Scope of Work

Service Provider shall provide support, maintenance, and related services for the JDE application as described below. Services shall include incident resolution, patching, performance tuning, scheduled maintenance windows, and advisory consulting as required to maintain operational stability.

Payment Terms

Client shall pay Service Provider for services performed under this Support Document JDE in accordance with the fee schedule and payment terms below. All fees are exclusive of applicable taxes unless otherwise stated.

Term and Termination

This Support Document JDE commences on Start Date: and, unless earlier terminated in accordance with this section, continues until End Date: .

Either party may terminate this Support Document JDE for convenience upon providing Notice Period (days): days' written notice to the other party. Either party may terminate immediately for material breach that remains uncured for the shorter of thirty (30) days or the notice period specified above.

Confidentiality

Each party agrees that Confidential Information disclosed by the other party shall be maintained in confidence and used only for performance under this Support Document JDE. Confidential Information excludes information that (a) is or becomes generally available to the public other than through breach of this Agreement, (b) was lawfully in the receiving party's possession prior to disclosure, or (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

Intellectual Property and Deliverables

Unless expressly agreed in writing, all pre-existing intellectual property rights of each party remain with that party. Service Provider grants Client a nonexclusive, nontransferable license to use any deliverables provided under this Support Document JDE solely for Client's internal business operations. Any custom code or configurations developed for Client under this Agreement shall be treated as a deliverable as set forth in the Scope of Work.

Liability; Indemnification

Each party shall indemnify and hold the other harmless from third-party claims arising from its gross negligence or willful misconduct in performing its obligations under this Support Document JDE. Except as may not be disallowed by applicable law, neither party's aggregate liability for any claim arising out of this Agreement shall exceed the total amounts paid by Client to Service Provider under this Support Document JDE in the twelve (12) months preceding the claim.

Governing Law

This Support Document JDE shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law rules.

Entire Agreement; Amendments
