SUPPORT SPECIALIST AGREEMENT

Recitals

THIS SUPPORT SPECIALIST AGREEMENT (the "Agreement") is made effective as of Effective Date: by and between Company Name: ("Company") and Support Specialist Name: ("Specialist").

WHEREAS, Company engages in the business of providing [its services and products] and requires ongoing technical and user support services; and

WHEREAS, Specialist represents that Specialist has the necessary skills, experience and resources to perform support services for Company and is willing to perform such services under the terms set forth in this Agreement.

WHEREAS, the parties desire to define their respective rights and obligations with respect to the support services to be provided by Specialist.

Specialist shall provide support services as described below. Services shall include, without limitation, troubleshooting, user support, configuration assistance, monitoring, escalation to third-party vendors as authorized, and delivery of agreed deliverables.

Payment Terms

Company shall compensate Specialist for the services described herein in accordance with the amounts and schedule below. All fees are exclusive of applicable taxes unless otherwise stated.

Invoices shall be issued to Company contact and are due according to the Payment Schedule. Unpaid amounts shall accrue interest as set forth in the Late Payment Fee clause and may be subject to collection costs and attorneys' fees.

Either party may terminate this Agreement for convenience upon written notice to the other party no fewer than days prior to the intended termination date.

Either party may terminate immediately for cause upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that, under the circumstances, should reasonably be understood to be confidential. Specialist shall (i) hold Confidential Information in confidence, (ii) not disclose it to third parties except as required to perform services under this Agreement, and (iii) use it solely to perform services for Company.

The confidentiality obligations shall survive termination for a period of following termination, except for Confidential Information that becomes publicly known through no fault of the receiving party or that is required to be disclosed by law, provided that the receiving party gives prompt notice and reasonably cooperates with the disclosing party in any lawful efforts to limit or contest such disclosure.

Intellectual Property and Work Product

All tangible and intangible results, works of authorship, inventions, discoveries, developments and improvements conceived, reduced to practice, prepared or created by Specialist in the course of performing services under this Agreement (collectively, "Work Product") shall be the exclusive property of Company. Specialist hereby assigns to Company all right, title and interest in and to the Work Product, subject to Company's obligation to pay compensation as set forth herein.

Independent Contractor; Taxes

Specialist is an independent contractor and not an employee, partner or agent of Company. Specialist shall be responsible for all federal, state and local taxes, withholdings and other statutory obligations arising from payment for services under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Indemnification

Specialist shall indemnify and hold harmless Company, its officers, directors and employees from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Specialist's negligence, willful misconduct or breach of this Agreement.

Entire Agreement

This Agreement, together with any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements, representations and understandings. Any amendment or modification must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Company may assign to an affiliate or successor entity.
