SUPPORTER PARTNERSHIP AGREEMENT

This Supporter Partnership Agreement ("Agreement") is entered into as of Effective Date: by and between Organization Name: ("Organization") and Supporter Name: ("Supporter").

Recitals

WHEREAS, Organization is a duly organized entity engaged in activities and programs described in its governing documents and seeks financial and programmatic support to further its mission; and

WHEREAS, Supporter desires to provide funds, promotional support, or other resources to Organization on the terms set forth in this Agreement to support the specific activities described in the Scope of Work; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Payment Terms

Supporter shall provide payment to Organization in accordance with the following terms. Any capitalized term not defined herein shall have the meaning set forth elsewhere in this Agreement.

All invoices shall be due and payable within the number of days specified in the Payment Schedule. Late payments shall accrue interest or fees as set forth in the Late Payment Fee field above, and Supporter shall be responsible for reasonable costs of collection, including attorneys' fees, to the extent permitted by law.

Term and Termination

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above after written notice describing the breach. Organization may terminate immediately if continued performance would jeopardize safety or compliance with applicable law.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in written, electronic or oral form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees to hold Confidential Information of the other in confidence, use such information only for the purposes of performing under this Agreement, and not disclose such information to third parties except as expressly permitted herein or as required by law with prompt notice to the disclosing party where legally permissible.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified above, without regard to its conflict of laws principles. Exclusive venue for disputes arising under this Agreement shall lie in the courts of that jurisdiction, subject to mandatory jurisdictional limitations.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's gross negligence or willful misconduct in connection with performance under this Agreement.

Entire Agreement

This Agreement, together with any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
