Termination for cause may occur upon material breach that remains uncured for the notice period specified above. Termination does not relieve the Applicant of payment obligations accrued prior to termination, nor Recipient of obligations to return or account for any surrendered items if applicable.

Confidentiality

Each party shall hold confidential and shall not disclose any non-public information received in connection with the surrender, except as required by law or as necessary to effect the surrender and enforcement of this agreement. Confidential information shall not include information that: (i) is publicly known through no fault of the receiving party; (ii) is rightfully received from a third party without breach of any obligation of confidentiality; or (iii) is independently developed by the receiving party without use of the disclosing party's confidential information.

Governing Law and Dispute Resolution

This Surrender Application Form and any disputes arising from it shall be governed by the laws of the State of without regard to conflicts of law principles. The parties agree that exclusive venue for any litigation shall be the state or federal courts located in that state unless they otherwise agree in writing.

Entire Agreement

This document, together with any attachments incorporated by reference, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.
