SURVEILLANCE SERVICE CONTRACT

This Surveillance Service Contract ("Agreement") is made and entered into as of Effective Date: by and between Client Name: with principal address ("Client"), and Service Provider Name: with principal address ("Service Provider").

RECITALS

WHEREAS, the Service Provider provides electronic surveillance, monitoring, installation, maintenance, and related professional services; and

WHEREAS, the Client desires to procure surveillance services at the premises identified above under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to govern the provision, operation, and confidentiality of surveillance systems, recordings, and related data.

SCOPE OF WORK

Services to be provided include, without limitation, site survey, equipment supply, installation, configuration, remote and/or on-site monitoring, event reporting, routine maintenance, and technical support as set forth in the Scope of Services above. The Service Provider will perform services in a professional manner consistent with industry standards.

EQUIPMENT, ACCESS, AND DATA

Equipment Ownership: Title to any equipment provided by the Service Provider shall remain with the Service Provider unless otherwise expressly transferred in writing. Client-supplied equipment remains the property of the Client.

Access to Premises: Client shall provide reasonable access to the premises and necessary utilities for installation and maintenance. Scheduled access dates: Start Date: End Date:

SERVICE LEVELS AND REPORTING

Service Provider will use commercially reasonable efforts to achieve uptime for monitoring services of not less than 95% per calendar month, excluding scheduled maintenance and force majeure events. TERM AND TERMINATION

Term: This Agreement commences on Commencement Date: and shall continue until Termination Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Termination for convenience by Client requires payment for all services performed and a reasonable termination fee for equipment ordered or installed.

CONFIDENTIALITY

Each party acknowledges that during performance of this Agreement it may have access to proprietary or confidential information of the other party, including recorded footage, monitoring logs, technical designs, and business information ("Confidential Information"). Each party shall: (a) hold Confidential Information in strict confidence; (b) only use Confidential Information to perform its obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to employees, agents, or subcontractors on a need-to-know basis who are bound by confidentiality obligations no less protective than those contained herein. Confidentiality obligations shall survive termination for a period of three (3) years, except that recorded surveillance footage containing personally identifiable information shall be retained and disposed of in accordance with the Data Retention section below.

DATA RETENTION, ACCESS, AND PRIVACY

Service Provider shall implement commercially reasonable technical and organizational measures to protect data from unauthorized access and will notify Client promptly upon discovery of any unauthorized disclosure.

LIABILITY AND INDEMNIFICATION

Each party's liability for direct damages arising out of this Agreement shall be limited to the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental, special, or punitive damages. Service Provider shall indemnify, defend and hold harmless Client from claims arising from Service Provider's gross negligence or willful misconduct in performance of services. Client shall indemnify Service Provider for claims arising from Client's breach of law or misuse of surveillance data.

INSURANCE AND COMPLIANCE

Service Provider shall maintain commercial general liability insurance and professional liability insurance in amounts customary for similarly situated providers and shall provide certificates of insurance upon reasonable request. Service Provider shall comply with all applicable laws and regulations governing surveillance, privacy, and data protection.

Service Provider may engage subcontractors for performance of duties, provided Service Provider remains responsible for subcontractor performance and compliance with this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices shall be in writing and delivered by hand, certified mail (return receipt requested), or nationally recognized courier to the addresses set forth above or such other address as a party designates by written notice.
