Surveillance System Template

This Surveillance System Agreement (the Agreement) is entered into as of Effective Date: between Client Name: (Client) and Provider Name: (Provider).

WHEREAS

WHEREAS, Client requires the supply, installation, commissioning, and maintenance of video surveillance equipment and associated services at the Premises described below; and

WHEREAS, Provider represents that it is qualified and experienced to provide such surveillance systems and services in accordance with the terms and specifications set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the acquisition, installation and operation of the surveillance system.

Provider shall furnish labor, materials, equipment, and supervision necessary to supply, install, program, test and commission the surveillance system described below and in the attached Specifications. Provider will perform work in a professional manner consistent with applicable industry standards.

Client agrees to pay Provider the Total Contract Price: payable as set forth below.

Deposit required upon execution: . Final payment due upon Substantial Completion and acceptance by Client, subject to the terms above.

Late Payment: Any undisputed amount not paid within days of the due date shall bear interest at or the maximum rate permitted by law, whichever is lower. Client shall be responsible for reasonable collection costs and attorneys’ fees for delinquent payments.

Either party may terminate this Agreement for cause upon material breach by the other party if such breach remains uncured for a period of days following written notice specifying the breach. Either party may terminate for convenience upon days prior written notice. Termination shall not relieve Client of payment obligations for services performed and equipment supplied up to the effective date of termination.

5. Confidentiality and Data Handling

"Confidential Information" means non-public information disclosed by one party to the other, including technical specifications, system configurations, passwords, access credentials, and recorded video footage. Each party shall keep Confidential Information confidential and shall not disclose it to third parties except to employees, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Provider shall implement reasonable technical, administrative, and physical safeguards to protect recorded footage and access credentials. Provider shall retain recorded footage for a retention period of days unless otherwise agreed in writing. Access to live or recorded footage shall be granted to Client and as required by law or valid legal process.

6. Warranties and Liability

Provider warrants that equipment installed will be free from defects in materials and workmanship for a period of months from the date of Substantial Completion. Manufacturer warranties shall apply in addition to Provider's warranty where applicable.

Except for gross negligence or willful misconduct, Provider’s total liability for any claim arising out of or related to this Agreement shall not exceed the total contract price paid by Client. In no event shall either party be liable for consequential, incidental, special or punitive damages.

7. Insurance and Compliance

Provider shall maintain commercial general liability and workers’ compensation insurance adequate for performing the work. Upon request, Provider shall provide certificates of insurance naming Client as an additional insured for liabilities arising from Provider's performance under this Agreement.

Provider shall comply with all applicable laws, regulations and industry standards concerning surveillance, privacy and data protection. Client shall obtain any necessary consents or notices required for the lawful recording at the Premises.

8. Inspection, Acceptance and Commissioning

Upon completion of installation, Provider will conduct acceptance testing with Client. Substantial Completion shall be evidenced by a written Certificate of Substantial Completion signed by both parties. Any defects identified during acceptance shall be remedied by Provider in a commercially reasonable time.

9. Notices

All notices must be in writing and are effective upon personal delivery, confirmed delivery by overnight courier, or three (3) business days after deposit in the U.S. mail postage prepaid, addressed to the parties’ notice addresses above.

10. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

This Agreement, including any attachments or exhibits executed by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior proposals, negotiations, representations and agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

11. Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
