Use, Retention and Anonymization

Confidentiality

Each party will treat all non-public information and data collected in connection with the Survey as Confidential Information. Confidential Information excludes information that is (a) publicly known through no breach of this Notice, (b) rightfully received from a third party without restriction, or (c) independently developed without use of or reference to Confidential Information. Confidential Information shall be used only for the purposes permitted by this Notice and shall be disclosed only to those employees, contractors or affiliates with a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Data Security and Compliance

Data Collector will implement and maintain reasonable administrative, technical and physical safeguards appropriate to the sensitivity of the Survey Data, including encryption in transit and at rest, access controls, and logging. Data Collector will promptly notify Sponsor of any unauthorized access, use or disclosure of Survey Data and will cooperate in mitigation and remediation. The parties represent that they will comply with applicable data protection laws and regulations in performing this Notice.

Participant Rights and Opt-out

Participants will be informed of the purpose of data collection and will be given an opportunity to opt out. Data Collector will implement the following opt-out procedure:

Governing Law

This Notice will be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

Entire Agreement

This Notice constitutes the entire agreement between the parties with respect to the Survey Data described herein and supersedes all prior or contemporaneous written or oral agreements relating to the same subject matter. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Additional Provisions and Certifications

Data Collector certifies that it will not sell personal identifiers collected through the Survey to third parties and will disclose any subcontractors engaged to perform survey administration or data processing. Sponsor authorizes Data Collector to engage such subcontractors provided Data Collector remains responsible for compliance under this Notice.
