1. WHEREAS, the Client desires to purchase from the Florist a floral arrangement and related services for a sympathy or memorial event in accordance with the specifications set forth in this Agreement; and

2. WHEREAS, the Florist is duly experienced and qualified to provide floral design, delivery, and coordination services and agrees to provide such services under the terms and conditions of this Agreement.

3. WHEREAS, the parties wish to record the scope, payment terms, performance schedule, and other material terms in writing.

Late Payment Fee: A late fee of $ will apply for payments more than days past the due date. The Florist reserves the right to withhold delivery until payment is received in cleared funds.

Cancellation Policy: Cancellations received at least hours prior to scheduled delivery will receive a full refund of amounts paid less actual costs incurred. Cancellations within 48 hours are subject to a cancellation fee equal to any non‑recoverable costs plus up to 50% of the arrangement price as liquidated damages.

Termination: Either party may terminate for material breach if the breach remains uncured for days after receiving written notice. Termination does not relieve Client from payment for services performed prior to termination.

CANCELLATION, SUBSTITUTION & REFUNDS

Flowers are perishable goods. The Florist will use commercially reasonable efforts to supply flowers specified in the order, but may substitute with flowers of equal or greater value as permitted by the Substitution Acceptance above. Refunds for product quality issues will be assessed on a case‑by‑case basis; the Florist's liability for defective or unsuitable arrangements is limited to replacement or refund of the arrangement price only, excluding delivery and ancillary fees.

CONFIDENTIALITY

Each party agrees to keep confidential any non‑public information disclosed solely for the purpose of fulfilling this Agreement and not to disclose such information to third parties except as required to perform obligations under this Agreement or as required by law. This confidentiality obligation survives termination of this Agreement for a period of two years.

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties. The parties agree that any dispute arising under this Agreement shall be resolved in the courts located in the jurisdiction where the Florist maintains its principal place of business unless otherwise mutually agreed in writing.

Entire Agreement: This Agreement, together with any attachments or order confirmations signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, representations, or agreements, whether written or oral. Any amendments must be in writing and signed by both parties.
