What a Synchronization Licence Agreement Covers

A Synchronization Licence Agreement grants permission to use a musical composition or sound recording in timed relation with visual media such as film, television, online video, or advertising. The document identifies rights granted, licensed territory, term, fee or royalty structure, credit requirements, and any restrictions on use. It differentiates synchronization rights (sync) from mechanical and public performance rights and often requires clearance from both the composer/publisher and the sound recording owner. This agreement is a contract between rights holder(s) and licensee, establishing legal terms for synchronization exploitation.

Why a Clear Written Licence Matters

Use a Synchronization Licence Agreement to document authorized uses, limit liability, and set payment and credit terms. Proper execution clarifies ownership and reduces infringement risk; when executed electronically, it remains enforceable under ESIGN and applicable state UETA statutes.

Why a Clear Written Licence Matters

Who Typically Prepares and Signs These Agreements

Typical users include music publishers, film/TV producers, advertising agencies, independent composers, and record labels that license music for visual media.

  • Music publishers and songwriters licensing composition rights to synchronize with filmed content
  • Record labels granting master use rights for sound recordings in commercials and web video
  • Production companies securing cleared tracks for distribution across territory and platforms

Roles vary by project; licensors control rights and licensees manage use, payment, and compliance during the license term.

Core Elements to Include in a Professional Licence

Essential components clarify scope, payment, credits, exclusivity, representations, warranties, indemnities, delivery, and duration to prevent later disputes over synchronization rights and compensation.

Grant

Specify the exact rights granted, whether synchronization only, master use, or both; list permitted media formats, territories, duration, and any exclusivity or sub-licensing limitations to avoid ambiguity.

Compensation

Record flat fees, advances, or royalty splits and specify payment schedule, currency, invoicing, taxpayer identification details, and consequences for late payment including interest or suspension of license rights.

Credits

Define how composer, publisher, and performer credit must appear in on-screen titles, liner notes, or metadata; include exact credit text and placement requirements to protect moral rights and reputation.

Clearances

Require licensee to obtain any third-party clearances, including samples, pre-existing licenses, underlying compositions, or rights in visual elements, and specify who bears clearance costs.

Warranties

Include warranties that licensor owns or controls rights licensed, will deliver rights free of encumbrances, and will indemnify licensee against infringement claims per agreed procedures.

Termination

Set termination events, cure periods, post-termination rights (e.g., wind-down period), obligations to remove music from future distributions, and remedies including damages and injunctive relief.

Required Details and Short Fields Checklist

Step-by-Step: Complete a Synchronization Licence Agreement

Follow this sequence to complete a Synchronization Licence Agreement accurately and reduce clearance delays efficiently.

  • 01
Prepare Materials: Collect audio files, visual references, and cue timestamps.
  • 02
Identify Rights: Confirm composition and master owners, publishers, and splits.
  • 03
Negotiate Terms: Agree fees, territory, exclusivity, and credit language.
  • 04
Execute & Record: Sign, date, distribute copies, and log in retention system.

How to Configure an Online Signing Workflow

Configure an online workflow to capture signatures, add conditional fields, and automate distribution for the Synchronization Licence Agreement.

Field Configuration
Signer Authentication Email plus SMS code for higher assurance
Conditional Fields Show payment fields after fee selection
Attachments Upload master and split documentation required
Audit Trail Capture IP, timestamp, and action history

Where to Send and Archive the Executed Agreement

Routing and delivery options determine how fully executed Synchronization Licence Agreements are shared and archived across teams and platforms.

  • Send to Publisher: Email signed copy to publisher and retain original
  • Distribute to Production: Provide license and usage instructions to production team
  • Registrar/PRO: Notify performing rights organization if required
  • Internal Records: Store executed agreement in secure records system

Digital Signing and Platform Considerations

Digital signing and eSubmission require compatible platforms supporting audit trails, secure storage, access controls, and exportable signed PDFs for contract management.

  • File Formats: Use PDF or DOCX for preservation
  • Integrations: Link with cloud storage and CMS
  • Authentication: Support email, SMS, or MFA

Common Deadlines and Timing Expectations

Typical deadlines in a Synchronization Licence Agreement govern payment, delivery, clearance, and post-termination obligations timelines.

Effective Date:

Date license begins; use MM/DD/YYYY format

Payment Due:

Net 30 from invoice receipt unless negotiated

Delivery of Masters:

Provide final masters within agreed production schedule

Clearance Deadline:

Obtain third-party clearances prior to final delivery

Post-Term Removal:

Remove licensed tracks within agreed wind-down period

Common Preparation Errors to Avoid

  • Failing to identify both composition and master owners before negotiating, which can result in incomplete clearances and potential infringement claims that delay release schedules.
  • Using vague territorial or media language such as 'worldwide' without specifying platforms or sub-licensing rights, which creates ambiguity in permitted uses and revenue splits.
  • Omitting credit language or failing to define exact on-screen text, causing disputes over attribution and potential damage to reputations.
  • Accepting oral or unrecorded agreements without a signed license, which undermines enforceability and complicates collection or defense against claims.

Key Risks and Potential Consequences

Infringement Liability: Statutory damages and fees
License Voidance: Material misrepresentation cancels rights
Reputational Harm: Improper crediting risks public disputes
Financial Penalties: Contract damages and lost revenue
Tax Withholding: Backup withholding if TIN missing
Distribution Stops: Courts may enjoin further use

Real-World Examples of Digital Licensing Workflows

These examples illustrate how electronic signing and templated licences reduce bottlenecks in synchronization clearance and execution.

Film Production Example

A small studio used signNow to accelerate music clearances during post-production and coordinate publisher and label approvals across time zones.

  • Signed licences closed faster for final delivery.
  • "I can process and execute all of these documents online with 100% compliance and built-in security. Whether on mobile or working offline, I can get forms back to their necessary parties efficiently."

Advertising Agency Case

An advertising agency used standardized templates to license pre-cleared tracks for a national spot, reducing agency review cycles.

  • Template reuse shortened negotiation and approval time.
  • "The interface is simple and easy-to-use for our team; more importantly, it is just as easy for our customers." The agency required minimal training and maintained compliance with audit trails during campaign approvals.

Best Practices to Reduce Risk and Speed Execution

Adopt consistent practices to reduce disputes and speed execution of Synchronization Licence Agreements across projects and platforms.

Clarify ownership, splits, and chain of title
Document publisher shares, songwriter splits, and master ownership. Attach publisher-provided split sheets and ISWC/ISRC numbers where available. Confirm mechanical and performance rights separately to prevent downstream collection and royalty allocation errors.
Define media, platforms, and sublicensing rights
Specify allowed media (theatrical, streaming, broadcast), platform examples, and whether sublicense rights are permitted. If global rights are granted, include language limiting sub-licenses to negotiated territories to avoid unintended global exploitation.
Set payment and accounting procedures with specifics
Include invoicing cadence, supporting documentation for royalty calculations, audit rights, and remedies for late payment. Clarify who bears withholding tax, whether gross-up applies, and consequences for disputed invoices to protect both parties' financial expectations.
Maintain auditable execution and retention processes
Use platforms that capture immutable audit trails, export signed PDFs, and store originals in secure repositories. Retain records per federal standards and industry practice to support audits, royalty disputes, or legal defense.
