TAKEAWAY SIGN AGREEMENT

Parties

This Takeaway Sign Agreement (the Agreement) is made between:

Recitals

WHEREAS, Licensor is the owner or authorized manager of the real property and building located at: (the Premises); and

WHEREAS, Licensee operates a takeaway food business and desires to install, maintain and display exterior signage identifying Licensee's business at the Premises; and

WHEREAS, Licensor is willing to grant a limited license to Licensee to install and maintain the Sign (as defined below) subject to the terms and conditions set forth in this Agreement.

Definitions

"Sign" means the takeaway identification signage to be installed by Licensee on the exterior of the Premises in the location approved by Licensor in writing. "Installation" and "Removal" include all fixtures, brackets, fasteners, illumination equipment, and related electrical connections.

Scope of Work

Licensee shall be responsible for the design, fabrication, installation, maintenance, repair and removal of the Sign as follows. All work must comply with applicable laws, building codes, and the reasonable requirements of Licensor.

Permits, Compliance and Insurance

Licensee shall obtain and pay for all necessary permits, approvals and inspections required by governmental authorities for the Sign and its installation. Licensee shall at all times comply with applicable law, the building owner's rules, and any reasonable design standards provided by Licensor.

Licensee shall maintain commercial general liability insurance and property insurance covering the Sign and naming Licensor as an additional insured where reasonably required. Evidence of such insurance shall be delivered to Licensor prior to commencement of installation.

Payment Terms

In consideration for the license to install and maintain the Sign, Licensee shall pay Licensor the fees set forth below.

All fees are exclusive of applicable taxes. Licensee shall be responsible for payment of any sales, use or similar taxes arising from the Sign or this Agreement.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon prior written notice to the other party given no fewer than days prior to the effective termination date. In the event of material breach, the non-breaching party may terminate after providing written notice and a day opportunity to cure.

Upon expiration or termination, Licensee shall remove the Sign at Licensee's expense and restore the Premises to substantially the same condition as prior to installation, reasonable wear and tear excepted. If Licensee fails to remove the Sign within thirty (30) days of termination, Licensor may remove the Sign and charge Licensee for reasonable removal and restoration costs.

Maintenance, Repair and Removal

Licensee shall keep the Sign in good repair and appearance at all times. Licensee shall promptly repair any damage to the Sign or the Premises caused by the Sign or its installation. Licensor may require removal or modification of the Sign if it becomes unsafe, violates law, or materially interferes with the use of the Premises.

Indemnity and Liability

Licensee shall indemnify, defend and hold Licensor harmless from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of Licensee's installation, maintenance, display, or removal of the Sign, except to the extent caused by Licensor's gross negligence or willful misconduct.

Confidentiality

Each party agrees that non-public business terms, pricing, technical specifications and other information designated in writing as confidential by the disclosing party and obtained in connection with this Agreement (Confidential Information) shall be kept confidential and used only for performance under this Agreement. Confidential Information does not include information that is or becomes generally available to the public through no fault of the receiving party or that is required to be disclosed by law, provided notice is given to the disclosing party where practicable.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Licensee warrants that the Sign and its installation will not infringe any third-party intellectual property rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices shall be effective upon personal delivery or three (3) days after deposit in the U.S. mail, postage prepaid, certified return receipt requested.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

Severability and Waiver

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The waiver by either party of any breach shall not constitute a waiver of any other or subsequent breach.

Additional Provisions

Licensor's approval of any sign design, installation contractor, or materials shall not be unreasonably withheld. Licensee shall coordinate installation timing to minimize disruption to the Premises and neighboring tenants. All electrical work shall be performed by a licensed electrician and comply with applicable codes.
