TALENT ATTACHMENT FORM

This Talent Attachment Form (the "Attachment") is made effective as of between Client Name: and Talent Name: .

WHEREAS

WHEREAS, Client is engaged in producing or commissioning the project titled (the "Project");

WHEREAS, Talent is a professional performer whose services are required for the Project and represents that Talent has the skill, experience and qualifications necessary to perform the services described in this Attachment;

WHEREAS, the parties desire to set forth the specific terms, compensation and conditions applicable to Talent's engagement on the Project as an attachment to the master agreement between the parties or, if no master agreement exists, as the controlling document for the Talent's engagement.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Talent an aggregate fee of $ for the services described above.

Late Payment: Amounts not paid within days of the due date shall accrue interest at per month (or the maximum lawful rate if less). In addition, Client shall be responsible for reasonable collection costs and attorneys' fees incurred to recover overdue amounts.

TERM AND TERMINATION

Term Commencement: This Attachment commences on and continues until , unless earlier terminated pursuant to this Section.

Termination for Convenience: Either party may terminate this Attachment for convenience upon providing days' prior written notice to the other party. Client shall pay Talent for services performed and pre-approved expenses incurred through the effective date of termination.

Termination for Cause: Either party may terminate immediately for material breach upon written notice if the breaching party fails to cure within a commercially reasonable period not to exceed 15 days, provided that certain breaches (including nonpayment) may permit immediate termination and pursuit of all available remedies.

CONFIDENTIALITY

Each party acknowledges that in the course of the engagement it may receive confidential information of the other party. Confidential information shall include non-public business information, creative materials, scripts, production details, and any other information designated as confidential or that reasonably should be understood to be confidential. The receiving party shall not disclose such information to third parties and shall use at least the same degree of care to protect such information as it uses to protect its own confidential information, but in no event less than reasonable care.

The obligations in this section do not apply to information that: (a) is or becomes generally available to the public other than by a breach of this Attachment; (b) was in the receiving party's possession prior to disclosure; (c) is lawfully received from a third party without restriction; or (d) is independently developed without reference to confidential information.

GRANT OF RIGHTS AND USE

Talent hereby grants to Client a non-exclusive (or exclusive if checked below) license to record, reproduce, distribute, publicly display, and otherwise exploit Talent's performance, name, image, photograph, voice and likeness embodied in the Project in all media now known or hereafter devised, in perpetuity, worldwide, subject to the compensation and usage limitations set forth in this Attachment.

Limitations on Use (if any):

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Talent represents and warrants that Talent has the full right, power and authority to enter into this Attachment and to grant the rights granted herein; that Talent's performance will not infringe the rights of any third party; and that there are no conflicts with any existing obligations. Talent agrees to indemnify, defend and hold harmless Client from any third-party claims arising from Talent's breach of the foregoing representations, except to the extent caused by Client's gross negligence or willful misconduct.

INSURANCE AND STATUS

Talent shall perform services as an independent contractor and not as an employee. Talent is responsible for all federal, state and local taxes related to compensation paid hereunder and shall not be entitled to employee benefits from Client.

GOVERNING LAW; DISPUTE RESOLUTION

This Attachment shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. Any dispute arising out of or relating to this Attachment shall be resolved through binding arbitration in accordance with commercially reasonable arbitration rules, unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT

This Attachment, together with any referenced master agreement and any attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. Any amendment or modification of this Attachment must be in writing and signed by both parties.
