TALENT DUBBING AGREEMENT

This Talent Dubbing Agreement (the Agreement) is entered into on by and between Client Name: with principal address: (hereinafter "Producer"), and Talent Name: with principal address: (hereinafter "Artist"). Producer and Artist are each a Party and collectively the Parties.

RECITALS

WHEREAS, Producer is producing a motion picture, audiovisual work, or other recorded production entitled (the "Production");

WHEREAS, Producer requires dubbing and voice performance services in for certain dubbed tracks and related deliverables for the Production; and

WHEREAS, Artist represents that Artist has the skill, facilities, and ability to perform dubbing and voice services and is willing to provide such services pursuant to the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties agree as follows:

1. ENGAGEMENT; SERVICES

1.1 Engagement. Producer hereby engages Artist, and Artist accepts engagement, to perform dubbing services consisting of voice performance, lip-synchronization, timing, and related vocal direction (the "Services") for the Production as described in the Recording Sessions and Deliverables section below.

1.2 Recording Sessions. Recording sessions shall occur at location: on or about (additional sessions as required by Producer).

2. DELIVERABLES; ACCEPTANCE

2.1 Deliverables. Artist shall deliver final dubbing tracks and isolated stems in the format and specification requested by Producer, including but not limited to sample rate, bit depth, and file format. A detailed description of required deliverables:

2.2 Acceptance. Producer shall review delivered material within days and may request reasonable additional takes or corrections. Artist shall perform requested corrections at no additional cost if due to Artist's failure to perform in accordance with agreed specifications; otherwise corrections shall be billed as Additional Sessions as set forth in Section 4.

3. COMPENSATION

3.1 Fee. As full compensation for all Services and rights granted hereunder, Producer shall pay Artist a flat fee of USD, subject to the payment schedule below.

3.2 Payment Schedule. Producer will pay Artist as follows:

4. GRANT OF RIGHTS; WORK FOR HIRE

4.1 Grant. Artist hereby irrevocably assigns and transfers to Producer all rights, title and interest in and to the recordings, performances, and any master recordings created pursuant to this Agreement, including copyrights and all renewals and extensions, worldwide and in perpetuity, for all media now known or hereafter devised, for use in the Production and ancillary exploitation thereof.

4.2 Work for Hire. To the maximum extent permitted by law, the Parties intend that the Services and recorded performances shall be considered "works made for hire" for which Producer shall be the author. To the extent any such recordings are deemed not to be works made for hire, Artist hereby assigns to Producer all right, title and interest in and to such recordings.

5. CREDIT; PROMOTION

5.1 Credit. Producer agrees to use reasonable efforts to accord Artist a voice credit in the Production where Producer customarily credits voice talent, to read as:

Artist grants Producer a perpetual, worldwide right to use Artist's name, likeness, voice and biographical material in connection with promotion, advertising and exploitation of the Production, subject to Artist's right to approve use when such use implies endorsement of any product or cause.

6. CONFIDENTIALITY

6.1 Confidential Information. Artist shall keep confidential all non-public information concerning the Production, scripts, storylines, characters, and any materials provided by Producer, and shall not disclose such information to any third party without Producer's prior written consent.

7. REPRESENTATIONS, WARRANTIES AND INDEMNITY

7.1 Representations. Artist represents and warrants that Artist has full right and authority to enter into this Agreement and grant the rights herein, that Artist's performance will be original and will not infringe or misappropriate the rights of any third party, and that Artist is not subject to any agreement that would conflict with this Agreement.

7.2 Indemnity. Artist shall indemnify, defend and hold harmless Producer and its officers, agents and affiliates from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of the foregoing representations and warranties by Artist.

8. TAXES; STATUS

Artist acknowledges that Artist is engaged as an independent contractor. Artist is solely responsible for all federal, state and local taxes, contributions and withholdings, if any, arising from the payments made under this Agreement. Producer may withhold amounts if required by applicable law.

9. TERM; TERMINATION

9.1 Term. This Agreement shall commence on the Effective Date set forth above and shall continue until completion of the Services and final delivery of the Deliverables, unless earlier terminated as provided herein.

9.2 Termination. Either Party may terminate this Agreement for material breach by the other Party if such breach is not cured within thirty (30) days after written notice. In the event of termination by Producer without cause, Artist shall be paid for Services performed through the date of termination.

10. INSURANCE; SAFETY

Artist shall maintain safe personnel practices and, at Producer's request, provide evidence of insurance coverage appropriate to Artist's engagement. Producer and Artist agree to comply with all applicable health and safety requirements while on Producer premises.

11. NOTICES

12. MISCELLANEOUS

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state specified by Producer at the time of execution, without regard to conflict of law rules.

12.2 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements, whether written or oral.

12.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

12.4 Amendments and Waiver. This Agreement may be amended only by a writing signed by both Parties. No waiver of any breach shall be effective unless in writing and signed by the waiving Party.

12.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be binding.
