TALENT FILMING AGREEMENT

This Talent Filming Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Producer is engaged in the production and distribution of audiovisual content and requires the services of the Talent for filming, promotion and related activities; and

WHEREAS, Talent represents that Talent has the skill, experience and legal right to render such services and is willing to perform such services under the terms and conditions set forth herein.

WHEREAS, the parties desire to set forth the terms of their agreement with respect to the engagement of Talent for filming and related activities.

SCOPE OF WORK

Talent shall provide professional performance, presence, and any other agreed-upon services for the production described below. The parties agree that the scope, schedule, and specific deliverables shall be as follows:

COMPENSATION AND PAYMENT TERMS

Producer shall pay Talent compensation as set forth below. Payment is contingent upon Talent's satisfactory performance as determined by Producer in its reasonable discretion.

Late payments shall bear interest at the lesser of (a) the maximum rate permitted by law or (b) on the outstanding balance, calculated monthly.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for days after written notice. In addition, Producer may terminate for convenience upon days' prior written notice; in such event Producer shall pay Talent for services performed through the effective date of termination and any non-contingent expenses reasonably incurred.

CONFIDENTIALITY

Talent acknowledges that during the engagement Talent may receive confidential or proprietary information of Producer. Talent shall not disclose or use such information except as necessary to perform under this Agreement. Confidential information does not include information that is or becomes public through no fault of Talent or that Talent lawfully obtains from a third party without restriction.

INTELLECTUAL PROPERTY, RIGHTS AND RELEASE

Talent hereby irrevocably assigns to Producer all right, title and interest in and to any footage, audio, performance, and other materials created in connection with this engagement, including all copyrights, throughout the world, in perpetuity. Talent agrees that the recording and exploitation of Talent's performance constitutes a work made for hire to the fullest extent permitted by law; to the extent any element is not a work made for hire, Talent assigns and transfers all right, title and interest to Producer.

Talent grants Producer the right to edit, adapt, reproduce, distribute, display, and otherwise exploit Talent's name, voice, likeness, biographical information and performance in connection with the production and any ancillary exploitation without additional compensation, subject to any credit obligations set forth herein.

REPRESENTATIONS, WARRANTIES AND COVENANTS

Talent represents and warrants that Talent has the full right, power and authority to enter into this Agreement and perform the services, and that Talent's performance will not violate the rights of any third party. Talent further warrants that Talent will comply with all applicable laws and production rules while performing services.

INDEMNIFICATION AND INSURANCE

Talent shall indemnify, defend and hold harmless Producer, its affiliates and their respective officers, directors and employees from and against any claims arising out of Talent's breach of any representation or warranty, negligence, willful misconduct, or violation of law.

EXPENSES AND TRAVEL

Producer will reimburse Talent for pre-approved, reasonable travel and out-of-pocket expenses incurred in connection with performance under this Agreement upon presentation of receipts within days of incurrence. Unless otherwise agreed in writing, travel time shall be compensated as set forth in the payment schedule.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification or amendment must be in writing and signed by both parties. If any provision of this Agreement is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as either party designates by written notice.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except that Producer may assign this Agreement to an affiliated entity or successor in interest. The parties are independent contractors and nothing herein creates an employment, partnership or joint venture relationship.
