TALENT MANAGEMENT PACKAGE

RECITALS

WHEREAS, Client is a performing talent or content creator engaged in professional activities for which representation, management and business development services are sought; and

WHEREAS, Manager is in the business of representing, advising, and procuring engagements on behalf of talent and has the experience, contacts and resources to manage Client's professional engagements; and

WHEREAS, the parties desire to set forth their respective rights and obligations under this Talent Management Package effective as of .

SCOPE OF WORK

Manager shall provide talent management services including, without limitation: career planning, identifying and negotiating engagements, contract review and advice, public relations coordination, booking oversight, and other customary management services as may be reasonably requested by Client and accepted by Manager. Manager shall act in good faith to advance Client's professional opportunities while preserving Client's best interests.

PAYMENT TERMS

As consideration for the services rendered by Manager, Client agrees to pay the following fees and to reimburse approved expenses in accordance with this Agreement.

TERM AND TERMINATION

This Agreement shall commence on the start date of and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon delivering written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other party, provided that the breaching party fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in the course of performing under this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Confidential Information shall include business plans, financial information, client lists, proposals, creative materials, and any non-public information designated as confidential or that reasonably should be understood to be confidential. Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except to its employees, agents or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (c) not use Confidential Information except to perform its obligations under this Agreement.

The obligations in this section shall not apply to information that (i) is or becomes generally available to the public other than by breach of this Agreement, (ii) was rightfully in the receiving party's possession prior to disclosure, or (iii) is independently developed without use of the disclosing party's Confidential Information. Upon termination of this Agreement, each party shall promptly return or destroy all Confidential Information of the other party upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any action arising under this Agreement.

MISCELLANEOUS

Independent Contractor. Manager is an independent contractor and not an employee, joint venturer or agent of Client for any purpose except as expressly set forth herein. Manager has no authority to bind Client except by written agreement.

Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that Manager may assign its rights to a successor in the event of a merger, sale of substantially all assets, or corporate reorganization.

Indemnification. Each party shall indemnify and hold harmless the other party from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

ENTIRE AGREEMENT

This Agreement, together with any schedules, exhibits and written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, communications and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

PARTY REPRESENTATIONS

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder. Client represents that it has the necessary rights to grant Manager the authorities set forth in this Agreement and to enter into management arrangements with third parties when approved by Client.
