TALENT RELEASE AGREEMENT

This Talent Release Agreement (the "Agreement") is entered into by and between Producer Name: and Talent Name: . The parties agree as follows.

RECITALS

WHEREAS, Producer is engaged in the development, production, distribution and exploitation of audiovisual works, advertising, promotional materials and related media (collectively, the "Productions"); and

WHEREAS, Talent possesses certain skills, appearance, voice, performance and/or other attributes desired by Producer for use in the Productions; and

WHEREAS, Producer desires to engage Talent to render services and to obtain rights to use Talent's name, likeness, voice, performance and biographical information in connection with the Productions on the terms set forth herein.

SCOPE OF WORK

GRANT OF RIGHTS

Talent hereby irrevocably grants, assigns and conveys to Producer and its licensees, successors and assigns, in perpetuity and throughout the universe, the exclusive right to record, capture, reproduce, edit, distribute, publish, broadcast, sublicense and otherwise exploit Talent's performance, name, voice, likeness, image, biography and other personal attributes (collectively, "Likeness") in connection with the Productions and all ancillary materials, advertising, promotions and merchandising related thereto. Talent waives any right of inspection or approval of the finished Productions and any claim for additional compensation, and hereby irrevocably waives and agrees not to assert any moral rights or droit moral in connection with Producer's exploitation of the Likeness.

PAYMENT TERMS

Compensation: Producer shall pay Talent the total amount of for services rendered under this Agreement.

Late Payment: Any undisputed past-due amount shall accrue interest at a rate of from the date due until paid in full. Producer shall be entitled to withhold payment only for material breaches and shall provide written notice of any disputed charges.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receipt of written notice. Termination shall not relieve Producer of obligations to pay for services already performed nor relieve Talent of obligations that by their nature survive termination.

CONFIDENTIALITY

Talent acknowledges that Producer may disclose confidential or proprietary information in connection with the Productions. Talent agrees to keep such information confidential and not to disclose or use it except as necessary to perform the services under this Agreement or as authorized in writing by Producer. This obligation shall survive termination for a period of three (3) years.

REPRESENTATIONS AND WARRANTIES; INDEMNITY

Talent represents and warrants that Talent has the full right, power and authority to enter into this Agreement and to grant the rights herein; that any performance and materials provided do not infringe any third party rights; and that there are no outstanding agreements that conflict with this Agreement. Talent will indemnify, defend and hold harmless Producer from and against any claims, liabilities, losses or damages arising out of any breach of the foregoing representations and warranties.

CREDITS

Producer shall use reasonable efforts to provide credit to Talent as follows: . Such credit shall be subject to Producer's editorial discretion and production constraints.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located in that state.

NOTICES

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The parties acknowledge that this Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
