TALENT RELEASE CONTRACT

RECITALS

THIS TALENT RELEASE CONTRACT (the "Agreement") is entered into by and between (hereinafter "Producer"), and (hereinafter "Talent").

WHEREAS, Producer is engaged in the production, distribution and exploitation of audiovisual and related materials and desires to record, film, photograph and otherwise capture Talent's performance, voice, image and/or appearance; and

WHEREAS, Talent is willing to perform services and grant rights to Producer on the terms and conditions set forth below; NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

SCOPE OF WORK

Talent shall perform the services described below for Producer during the Engagement Period. Talent agrees to appear and perform as required for the production and to cooperate with Producer's reasonable directions.

PAYMENT TERMS

All payments shall be full satisfaction of Producer's monetary obligations to Talent unless otherwise set forth in writing. Talent acknowledges that compensation is inclusive of all rights granted herein unless otherwise agreed in a separate writing signed by both parties.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated pursuant to this Section.

Either party may terminate for material breach by providing written notice to the other party and a cure period of days. Termination shall not affect Producer's right to use materials lawfully created prior to termination.

GRANT OF RIGHTS

Talent hereby irrevocably grants and assigns to Producer, its licensees, successors and assigns, a perpetual, worldwide, fully paid-up, royalty-free, sublicensable and transferable right and license to record, reproduce, edit, adapt, publicly perform, display, distribute, transmit and otherwise exploit Talent's performance, name, likeness, voice, biographical material and image in any media now known or hereafter devised for all commercial and non-commercial purposes.

Producer shall have the right to combine Talent's performance with other material and to make derivative works, and to exercise all rights in such materials without further compensation to Talent except as expressly set forth in this Agreement.

CONFIDENTIALITY

Except as required for performance hereunder or unless otherwise agreed in writing, the parties shall keep confidential all non-public information concerning the production, business practices and terms of this Agreement. This obligation shall not apply to information that is or becomes publicly known through no breach of this Agreement or that is lawfully obtained from a third party without restriction.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Talent represents and warrants that Talent has full right, power and authority to enter into this Agreement and to grant the rights granted herein, that the performance and rights granted will not conflict with any other agreement, and that Talent will obtain any required consents from third parties appearing with Talent. If Talent is a minor, the parent/guardian who signs below represents and warrants authority to act on the minor's behalf.

Talent shall indemnify and hold harmless Producer, its licensees, successors and assigns from and against any claims, losses or liabilities (including reasonable attorneys' fees) arising from Talent's breach of the foregoing representations and warranties. Producer shall indemnify Talent against claims arising from Producer's material breach of this Agreement or Producer's unauthorized use beyond the rights granted herein.

MORAL RIGHTS; CREDIT

To the fullest extent permitted by applicable law, Talent hereby waives and agrees not to assert any moral rights or rights of attribution or integrity in connection with Producer's use of the materials. Credit, if any, shall be at Producer's sole discretion unless otherwise agreed in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether written or oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No failure or delay by either party in exercising any right shall operate as a waiver of that right.
