TALENT RELEASE FORM

Parties and Project

Recitals

WHEREAS, Producer is engaged in the production, distribution and exploitation of audiovisual content, advertising, and related media (the Production); and

WHEREAS, Talent is an individual whose name, voice, likeness, performance and other contributions may be recorded, photographed or otherwise captured in connection with the Production; and

WHEREAS, the Parties wish to set forth the terms under which Talent grants rights to Producer and the compensation and other obligations of the Parties.

Grant of Rights

Talent hereby grants to Producer and its licensees, successors and assigns a worldwide, perpetual, irrevocable, transferable, sublicensable, fully paid-up, royalty-free right and license to record, reproduce, distribute, perform, display, edit, adapt, modify, and otherwise use Talent's name, voice, likeness, image, performance, and biographical material (collectively, the Contributions) in any and all media now known or hereafter devised for any purpose related to the Production, promotion, advertising, publicity, and commercial exploitation.

Producer shall pay Talent the compensation set forth below in full satisfaction of all fees and expenses for the rights granted herein.

Term and Termination

This Agreement shall commence on the Start Date and shall continue in full force and effect until the End Date unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured for the notice period specified above. Termination shall not relieve either Party of obligations accrued prior to termination.

Confidentiality

During the term of this Agreement and for a period of two (2) years thereafter, each Party shall hold confidential and not disclose to any third party any non-public business, creative or technical information disclosed by the other Party that is designated as confidential or that, by its nature, should reasonably be considered confidential. This obligation shall not apply to information that is already public, independently developed without use of confidential information, or required to be disclosed by law, provided the disclosing Party gives prompt notice to the other Party to permit seeking protective measures.

Representations, Warranties and Release

Talent represents and warrants that Talent has full right, power and authority to enter into this Agreement and to grant the rights herein; that Talent's performance and participation will not violate the rights of any third party or any agreement to which Talent is a party; and that Talent has not granted conflicting permissions to use the Contributions. Talent hereby releases Producer and its licensees from any and all claims, actions, suits, demands, liabilities or causes of action in connection with the use of the Contributions as permitted by this Agreement, including claims for defamation, invasion of privacy, or infringement of rights of publicity.

Indemnification

Talent shall indemnify, defend and hold harmless Producer and its officers, directors, agents and employees from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Talent's representations or warranty, or any third-party claims arising from Talent's acts or omissions.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of laws principles. The Parties consent to the exclusive jurisdiction of the courts located in that state for any dispute arising under this Agreement.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both Parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for convenience only and do not affect interpretation. Neither Party may assign this Agreement without the prior written consent of the other, except that Producer may assign to an affiliate or successor without consent.

Acknowledgment

Talent acknowledges having read this Agreement, having had the opportunity to seek independent legal advice, and agrees that the consideration and rights granted herein are fair and adequate.
