TALENT SERVICES AGREEMENT

This Talent Services Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: with Address: , and Talent Name: with Address: .

RECITALS

WHEREAS, Client produces, develops and markets audio, visual and digital content and requires on-camera, voiceover and related performance services;(the "Productions");

WHEREAS, Talent is engaged in the business of providing performance, voice, modeling or other artistic services and represents the ability to perform the Services described in this Agreement;

WHEREAS, Client desires to engage Talent and Talent agrees to render such Services pursuant to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT; SERVICES

1.1 Engagement. Client hereby engages Talent, and Talent accepts such engagement, to perform the services described in Section 1.2 (the "Services") on the terms set forth in this Agreement. Talent shall provide the Services as an independent contractor and not as an employee.

2. TERM

2.1 Term. The term of this Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with Section 11.

3. COMPENSATION; PAYMENT

3.3 Taxes. Talent shall be responsible for all federal, state and local taxes arising from compensation paid pursuant to this Agreement. Client shall not withhold payroll taxes on behalf of Talent.

4. EXPENSES

Client shall reimburse Talent for pre-approved, reasonable and necessary out-of-pocket expenses incurred in connection with performance of the Services, upon submission of receipts and documentation. Pre-approval must be obtained in writing from Client's designated representative.

5. INDEPENDENT CONTRACTOR

Talent is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties. Talent shall have no authority to bind Client and shall be solely responsible for the manner and means of performing the Services.

6. CONFIDENTIALITY

6.1 Definition. "Confidential Information" means non-public business, technical, creative and financial information disclosed by one party to the other that is designated confidential or which a reasonable person would understand to be confidential.

6.2 Obligations. Each party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as required to perform the Services or as required by law, and shall use the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

7. INTELLECTUAL PROPERTY

7.1 Work Product. All materials, recordings, scripts, photographs and other deliverables conceived, created or produced by Talent in connection with the Services (the "Work Product") shall be deemed works made for hire and shall be the sole and exclusive property of Client. To the extent any Work Product is not deemed a work made for hire, Talent hereby assigns all right, title and interest in and to such Work Product to Client.

7.2 Moral Rights; Right of Publicity. To the extent permitted by law, Talent hereby waives and agrees not to assert any moral rights, droit moral or similar rights in connection with the Work Product. Talent grants Client a worldwide, perpetual, irrevocable license to use Talent's name, image and performance in connection with the Work Product.

8. REPRESENTATIONS AND WARRANTIES

Talent represents and warrants that: (a) Talent has full right, power and authority to enter into this Agreement and to grant the rights herein; (b) the Services and Work Product will not infringe or misappropriate any third party rights; and (c) Talent will comply with all applicable laws and regulations in performing the Services.

Client represents and warrants that it has the authority to engage Talent and to grant the rights granted herein and that Client will comply with applicable laws in connection with the Productions.

9. INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of a breach of this Agreement or the negligent, willful or unlawful acts of the Indemnifying Party; provided, however, that nothing shall limit Client's remedies for Talent's failure to deliver contracted Services.

10. INSURANCE

If requested by Client, Talent shall maintain at Talent's expense general liability and, where applicable, employers' liability insurance with limits reasonably acceptable to Client and shall provide certificates of insurance upon request.

11. TERMINATION

11.1 Termination for Cause. Either party may terminate this Agreement for material breach by the other party that is not cured within thirty (30) days after written notice specifying the breach.

11.2 Termination for Convenience. Client may terminate this Agreement for convenience upon ten (10) days' prior written notice to Talent, in which case Client shall pay Talent for Services performed through the effective date of termination and reimbursable expenses incurred prior to termination.

11.3 Effect of Termination. Upon termination, Talent shall deliver all Work Product completed through the effective date and shall cooperate reasonably to effect an orderly transfer of Services.

12. NON-SOLICITATION

During the Term and for a period of twelve (12) months following termination, Talent shall not, without Client's prior written consent, directly solicit for hire any employee or independent contractor of Client who was involved in Talent's engagement.

13. PUBLICITY

Client may, subject to Talent's reasonable approvals, use Talent's name, image, biographical information and likeness in connection with marketing and promotion of the Productions. Talent grants Client a license for such use as set forth in Section 7.2.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the parties at the addresses set forth below or to such other address as a party may specify in writing in accordance with this Section.

15. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules. Any dispute arising out of or relating to this Agreement shall be resolved by final and binding arbitration conducted in the county or city specified below, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

16. MISCELLANEOUS

Entire Agreement. This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.

Amendments; Waiver. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure or delay by a party to exercise any right shall not operate as a waiver.

Severability. If any provision of this Agreement is held invalid or unenforceable under applicable law, the remainder of the provisions shall remain in full force and effect.

Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed original signatures for all purposes.
