TALENTSCOUT EMPLOYMENT AGREEMENT

This TalentScout Employment Agreement (the Agreement) is made and entered into as of (Effective Date) by and between TalentScout Company: and Employee/Talent: .

WHEREAS

WHEREAS, Employer is engaged in the business of talent sourcing, representation and placement of performers and creative professionals, and desires to secure the services of Employee to perform specified talent services under the terms set forth in this Agreement.

WHEREAS, Employee represents that Employee has the necessary skills, qualifications and availability to perform the services described herein and agrees to perform such services in accordance with the terms of this Agreement.

WHEREAS, the parties wish to set forth the terms and conditions of Employee's engagement by Employer, including scope, compensation, confidentiality, and termination provisions.

SCOPE OF WORK

Employee will perform the services described above and such other duties as reasonably requested by Employer that are consistent with Employee's role. Employee shall perform services in a timely, professional manner and shall comply with Employer's policies when applicable.

The parties acknowledge and agree that the nature of the relationship is:

PAYMENT TERMS

Employer agrees to compensate Employee as follows:

Unless otherwise agreed in writing, all payments will be subject to applicable payroll taxes and withholdings where required by law. Employee shall submit itemized invoices when requested; Employer shall remit undisputed payments according to the Payment Schedule above. In the event of a disputed invoice, the undisputed portion shall be paid promptly and the parties shall attempt to resolve the dispute in good faith.

TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated, will continue until End Date: or until completion of the services.

Either party may terminate this Agreement without cause by providing written notice at least days prior to termination. Employer may terminate immediately for cause, including but not limited to material breach, unlawful conduct, or failure to perform duties. Termination for convenience shall not affect accrued payment obligations for services rendered prior to termination.

CONFIDENTIALITY

Employee acknowledges that in the course of engagement Employee will have access to confidential and proprietary information concerning Employer's business, clients, casting information, creative materials, rates, and strategies ("Confidential Information"). Employee shall: (a) maintain all Confidential Information in strict confidence; (b) not disclose Confidential Information to third parties except as authorized in writing by Employer; and (c) not use Confidential Information for any purpose other than performance of duties under this Agreement.

The confidentiality obligations set forth herein shall survive termination of this Agreement for a period of three (3) years, or for such longer period as may be required for trade secrets or other protected information under applicable law. Employee acknowledges that a breach of this provision will cause irreparable harm to Employer and that Employer shall be entitled to injunctive relief in addition to any other remedies at law or in equity.

INTELLECTUAL PROPERTY

To the extent permitted by applicable law, Employee hereby assigns to Employer all rights, title and interest in and to any works, materials, recordings, or deliverables created by Employee in connection with the services (Collectively, the Work Product). Employee shall execute such further instruments and do such acts as Employer may reasonably request to effectuate such assignment.

EXPENSES

Employer shall reimburse Employee for pre-approved, reasonable, and documented business expenses incurred in connection with the services upon submission of receipts or other documentation in accordance with Employer's policies. Reimbursements will be paid within thirty (30) days of receipt of an approved expense report.

COMPLIANCE WITH LAWS

Employee shall comply with all applicable laws, rules and regulations in the performance of services under this Agreement. Employee represents and warrants that Employee is authorized to work and perform services for Employer in the jurisdiction(s) where services will be provided.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in that State.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification of this Agreement will be valid unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement will remain in full force and effect. Headings in this Agreement are for convenience only and do not affect interpretation. The parties acknowledge they have had the opportunity to seek independent legal advice.
