Scope of Work

The Seller shall provide goods and perform services as described below in accordance with the specifications, schedules, and acceptance criteria set forth in this Target Order Form. Any changes to scope shall be subject to written change order executed by authorized representatives of both parties.

Payment Terms

Payment due for the Total Order Amount shall be made as follows unless otherwise agreed in writing:

Invoices rendered by Seller shall reference the Purchase Order No. above and shall be paid in accordance with the Payment Schedule. Buyer may withhold amounts properly disputed in good faith pending resolution; undisputed amounts shall remain due and payable.

Term and Termination

This Target Order Form commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for cause upon material breach by the other party that remains uncured for the Notice Period shown below following written notice. Either party may terminate for convenience upon written notice.

Confidentiality

Each party (Recipient) shall hold in confidence and shall not disclose or use except in performance of its obligations hereunder any Confidential Information of the other party (Discloser). Confidential Information includes non-public business, technical, pricing, customer, and product information, whether disclosed orally, in writing, or by inspection. Confidential Information does not include information that (a) is or becomes publicly available other than through breach of this Agreement, (b) was known to Recipient prior to disclosure, (c) is rightfully received from a third party without restriction, or (d) is independently developed without use of Discloser’s Confidential Information.

Recipient shall exercise at least the same degree of care to protect Confidential Information as it uses with its own similar information, but in no event less than reasonable care. Upon request, Recipient will return or destroy Confidential Information and certify such return or destruction.

Delivery and Target Dates

Seller shall use commercially reasonable efforts to meet Target Delivery Dates. Time is of the essence only where expressly stated in writing. Buyer may, at its discretion, accept partial deliveries and shall pay for accepted quantities in accordance with Payment Terms.

Governing Law

This Target Order Form shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising under this Target Order Form.

Entire Agreement

This Target Order Form, including any documents incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment shall be effective unless in a written instrument signed by authorized representatives of both parties.

Additional Provisions

Neither party shall assign this Target Order Form without the prior written consent of the other party, except to a successor to all or substantially all of its business by merger or sale of assets. If any provision is held invalid, the remaining provisions remain in effect.
