What a Tarping Agreement Covers

A Tarping Agreement is a short construction and transportation contract that assigns responsibility for covering, securing, and protecting materials or waste during transport or at a job site. It specifies scope of tarping work, materials and sizes of tarps, labor and timing, payment terms, liability for damage or debris, cleanup obligations, and insurance or indemnity requirements. The document clarifies who supplies tarps, who performs installation and removal, and which party is responsible for compliance with local ordinances and safety standards. It is commonly used between contractors, haulers, and property owners.

Why a Written Tarping Agreement Matters

Use a Tarping Agreement to reduce disputes about scope, allocate liability, and document insurance and payment terms. Clear written terms lower cleanup costs, support insurance claims, and provide enforceable proof of responsibilities when signed by both parties.

Why a Written Tarping Agreement Matters

Who Prepares and Signs a Tarping Agreement

Typical users include contractors, trucking companies, property managers, and waste haulers who need documented responsibilities for covering and transporting materials.

  • General contractors and subcontractors coordinating job-site material protection and debris containment.
  • Haulers and transport companies ensuring compliance with load security, state laws, and municipal ordinances.
  • Property owners or managers seeking to document responsibilities and recovery procedures for tarping failures.

When completed and signed, the agreement reduces ambiguity, aids insurance claims, and creates enforceable obligations between the named parties.

Essential Sections to Include

Core sections of a professional Tarping Agreement define roles, operational details, liability, and remedies so all parties understand expectations and responsibilities.

Parties

Identify each contracting entity by legal name, business type, contact information, and the authorized signer who can bind the organization to the agreement.

Scope

Describe tarping tasks in detail: locations, number and type of tarps, fastening methods, load types, and responsibilities for installation and removal.

Materials

Specify tarp materials, sizes, acceptable condition standards, anchoring hardware, and which party supplies consumables or replacements during the project.

Schedule

Set installation and removal dates, response times for emergency re-tarping, permitted work hours, site access instructions, and remedies for missed timelines.

Payment

State payment amount or rate, invoicing schedule, retainage if any, accepted payment methods, and remedies for late payment or nonpayment.

Insurance

Include required insurance types and limits, naming conventions for additional insured, indemnity clauses, and procedures for submitting claims and certificates of insurance.

Step-by-Step: Complete and Execute the Agreement

Follow these step-by-step actions to complete, execute, and distribute a Tarping Agreement accurately and efficiently for on-site or remote projects.

  • 01
Prepare Document: Gather party details, tarp specs, and insurance information.
  • 02
Complete Fields: Enter dates, scope, payment, and materials with exact formats.
  • 03
Review Terms: Confirm risk allocation, indemnity, and insurance coverage with stakeholders.
  • 04
Sign and Deliver: Obtain signatures and distribute executed copies to all parties.

Configure an Online Signing Workflow

Configure an online tarping agreement workflow to collect fields, attach insurance documents, and route signatures in the correct order.

Field Configuration
Signature Order Sequential by role to ensure correct signer flow.
Attachments Require COI upload before signer can complete.
Authentication Email or SMS code for signer verification.
Reminder Schedule Auto-reminders every 3 days until executed.

Where to Send and Store Executed Copies

After execution, follow standard routing to ensure copies are provided to all stakeholders and retained per company policy and state rules.

  • Contractor Files: Retain executed copy at the project office.
  • Hauler Receives: Carry signed agreement during transport.
  • Owner Records: Keep copy with property project records.
  • Insurance Carrier: Send COI and claim contact information.

Digital Signing and Platform Considerations

Use digital signing platforms that provide tamper-evident audit trails, optional notarization, conditional fields, and attachment support for certificates of insurance.

  • File Formats: PDF, DOCX supported
  • Integrations: Works with Procore and NetSuite
  • Authentication: Email, SMS, or KBA options

Key Deadlines and Processing Expectations

Set clear deadlines to coordinate tarping schedules, proof of insurance, invoicing, and dispute windows for timely performance and claims.

Effective Date:

When obligations start; MM/DD/YYYY.

Installation Deadline:

Date/time for tarp installation on site.

Removal Deadline:

Date/time for tarp removal or turnover.

Insurance Proof Due:

COI provided before work begins.

Payment Due:

Invoice due date per payment terms.

Project Milestones from Agreement to Closeout

A project timeline with sequential milestones helps manage responsibilities and document compliance throughout the tarping process.

01

Agreement Execution

All parties sign and date the agreement.

02

Insurance Verification

Carrier issues COI naming necessary additional insured.

03

Installation Completion

Tarping installed per specifications and inspected.

04

Final Acceptance

Owner or inspector signs off on closing obligations.

Common Preparation Mistakes to Avoid

  • Leaving scope vague leads to disputes and extra charges; specify locations, tarp counts, and fastening methods to avoid interpretation issues.
  • Failing to require and verify certificates of insurance can cause uncovered liability and delayed claims processing after incidents.
  • Using informal or unsigned acknowledgments instead of full signatures increases the risk of non-enforceability in a dispute.
  • Not documenting emergency response or re-tarping timelines results in ambiguous responsibilities after weather events or load shifts.

Penalties and Risks of an Incorrect Agreement

Fines: Local code violations may incur municipal fines.
Liability Exposure: Uninsured losses can lead to indemnity claims.
Insurance Denial: Incorrect COI or missing endorsements may void coverage.
Contract Breach: Material breach can trigger damages or termination.
Worker Safety: OSHA citations possible for unsafe tarping practices.
Permit Risk: Noncompliance can affect permits or inspections.

Who Should Sign on Behalf of an Organization

Contractor Authorized Rep

The contractor's authorized representative—project manager or company officer—must have explicit delegated authority to bind the contractor on scope, change orders, and indemnity terms. Document the authorization and include the signer's title to reduce later challenges.

Property Owner / Manager

The property owner or an authorized facility manager should sign to accept site access and responsibilities. For entity owners, require written proof of signatory authority, such as a corporate resolution or written delegation.

Real-World Examples of eSigning for Field Documents

Organizations with mobile teams use e-signatures to finalize field agreements quickly while preserving audit trails and attachments such as COIs.

Martin Properties — Tim Martin

A small property manager adopted e-signatures for on-site safety forms and tarping agreements to speed turnaround.

  • Needed mobile signing for field crews.
  • "I can process and execute all of these documents online with 100% compliance and built-in security. Whether on mobile or working offline, I can get forms back to their necessary parties efficiently."

BIS — Dan Rotelli

An operations team centralized contract execution for repetitive service agreements including tarping.

  • Sought SOC 2-level controls for enterprise accounts.
  • Dan Rotelli stated, "We felt most comfortable with airSlate SignNow given their SOC 2 certification and strict focus on ESIGN and UETA act compliance."
