Representations and Warranties

Transferor represents and warrants to Transferee as follows:

1. Ownership and Authority: Transferor is the lawful owner of the tax credits specified above and has full power and authority to enter into and perform this Agreement. The credits are free and clear of liens, claims, encumbrances and third-party rights.

2. Validity and Compliance: The credits were generated in compliance with all applicable statutes, regulations and program requirements as of the Effective Date and are valid for transfer to Transferee under the governing law and program rules.

3. No Prior Assignment: Transferor has not previously assigned, sold, pledged or otherwise encumbered the credits identified herein, except as disclosed in writing to Transferee.

4. No Pending Claims: There are no pending audits, administrative proceedings, or litigation that would reasonably be expected to materially impair the value or transferrability of the credits.

Tax Certification

Transferor certifies under penalty of perjury that the statements below are true and correct:

1. Transferor is identified correctly above by legal name and taxpayer identification number and is the party entitled to transfer the credits.

2. The credits have not been claimed in any federal, state, or local tax return or otherwise applied against Transferor's tax liability for the tax year identified herein.

3. Transferor will, upon reasonable request, cooperate with Transferee and relevant taxing authorities to effect any required reporting, documentation, or filings necessary to reflect the transfer.

Indemnification

Transferor agrees to indemnify, defend and hold harmless Transferee from and against any and all liabilities, losses, costs, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of Transferor's representations, warranties or certifications contained in this Agreement, or from any claim that the credits were invalidly created or previously transferred.

Reporting and Cooperation

Each party shall prepare and exchange all documents, affidavits and statements necessary for proper reporting of the transfer to applicable tax authorities. Each party shall reasonably cooperate with the other in connection with any audit, claim or inquiry related to the credits.

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the credits were generated, without regard to conflict-of-law principles.

Amendment: This Agreement may be amended only by a written instrument executed by both parties.

Assignment: Neither party shall assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Transferee may assign rights to an affiliate or successor in interest so long as such assignee assumes Transferee's obligations under this Agreement.
