Services do not include audit representation unless separately engaged in writing. The Firm will rely on information provided by the Client and will not audit or otherwise verify such information except as expressly provided herein.

Client Responsibilities

The Client is responsible for providing complete and accurate information necessary for the preparation of returns and for supporting documentation. The Client agrees to retain all records, receipts, and supporting documents for at least the period required by applicable law and to provide copies to the Firm upon request.

Fees and Billing

Fees will be determined on the basis of time spent, complexity of matters, and responsibility assumed. Fees and billing arrangements are described below.

Consent and Authorizations

Electronic filing: The Client authorizes the Firm to electronically file returns on the Client's behalf and to use the Client's signature, including a signed authorization form or other secure electronic signature, where permissible.

Confidentiality; Record Retention; Limitation of Liability

The Firm will maintain the confidentiality of Client information except as required by law or authorized by the Client. The Firm will return original documents as requested, but may retain copies and work papers. The Firm's liability for claims arising out of this engagement is limited to direct damages not to exceed the total fees paid for the specific service, except where prohibited by applicable law.

Termination

Either party may terminate this engagement upon written notice. The Client remains responsible for fees and expenses incurred up to the date of termination and for any additional costs reasonably necessary to conclude the engagement.

Representations and Certifications

By signing this engagement letter, the Client certifies and agrees to the following statements under penalty of perjury:

  1. The information provided to the Firm for preparation of returns and other services is true, correct and complete to the best of the Client's knowledge.
  2. The Client will provide all material facts and supporting documentation necessary for the accurate preparation of tax returns and will notify the Firm of any changes to information previously provided.
  3. The Client understands that the Firm will rely on the Client's representations and is not responsible for penalties or interest arising from incomplete or inaccurate information supplied by the Client.
  4. The Client authorizes the Firm to discuss tax matters and to represent the Client before taxing authorities only as specifically agreed in writing, and understands that additional engagement is required for audit or contested matters.
  5. The Client acknowledges responsibility for the timely filing of returns and for payment of taxes, penalties and interest, and agrees to indemnify the Firm for claims arising from the Client's failure to provide accurate information or timely approvals.

The Client certifies that they are authorized to execute this engagement letter on behalf of the taxpayer identified above and that all information supplied is accurate and complete.
