Compensation; Term; Termination

Either party may terminate this engagement for any reason upon written notice. Upon termination, the Intern must promptly return all Firm and client materials and certify in writing that no copies of confidential information are retained.

Workpapers; Ownership; Record Retention

All workpapers, files, electronic documents, and deliverables prepared by the Intern in connection with this engagement are the exclusive property of the Firm. The Intern will not retain, reproduce, or disseminate Firm or client workpapers without prior written authorization.

Indemnity and Limitation of Liability

Intern agrees to indemnify the Firm for any losses resulting from the Intern's willful misconduct or gross negligence. Firm's liability to the Intern for any act or omission arising out of this engagement is limited to direct damages and shall not include consequential damages.
