The undersigned Taxpayer offers to permit an external examination of tax records, books, accounts and supporting documentation (collectively, "Records") under the following terms. This Offer is not an acceptance by the Recipient and remains revocable until acknowledged in writing by the Recipient.

Confidentiality and Use of Records

The Recipient, if they accept, shall maintain the confidentiality of Records to the extent required by law. Records produced pursuant to this Offer shall be used solely for the purpose set forth in the Scope of Audit, and shall not be disclosed to third parties except as required by applicable law or court order.

Representations; Indemnity; Limitations

The Taxpayer represents that, to the best of its knowledge, the Records to be produced are true, accurate, and complete for the periods listed in the Scope of Audit. The Taxpayer agrees to cooperate in good faith, to provide personnel access when reasonably requested, and to notify the Recipient promptly of material changes to the Records.

The Taxpayer shall indemnify and hold harmless the Recipient from claims arising from inaccuracies in the Records provided by the Taxpayer, except to the extent such claims result from the Recipient's willful misconduct or gross negligence. The Recipient's liability for any claim arising from the audit shall be limited to direct damages proven and shall exclude consequential, incidental, and punitive damages to the maximum extent permitted by law.

Procedures for Production and Withdrawal

Upon written acceptance of this Offer by the Recipient, the Taxpayer will deliver the Records according to the schedule agreed in writing. The Taxpayer reserves the right to withdraw or modify this Offer prior to written acceptance. Any acceptance must be in writing and signed by an authorized representative of the Recipient.

Certification and Perjury Statement

Under penalties of perjury, I certify the following:

1. I am authorized to make this Offer on behalf of the named Taxpayer and I have the authority to bind the Taxpayer with respect to the production and use of Records described herein.

2. The information provided on this form and any attachments is true, correct, and complete to the best of my knowledge.

3. I understand that knowingly providing false information in connection with this Offer may subject me to civil or criminal penalties under applicable law, including penalties for perjury.

4. I consent to the use of the Records for the limited purpose described in the Scope of Audit and acknowledge that this Offer does not waive any privileges except to the extent the Taxpayer expressly identifies and produces privileged materials in writing.
