TAX MSA ENGAGEMENT LETTER

This Tax Master Services Agreement (this Engagement Letter) is entered into between Client Name: and Service Provider: Effective Date:

Scope of Services

The Service Provider will provide tax advisory, preparation, review, and related consulting services (collectively, the Services) as agreed in writing and as described below. The scope may include federal, state, and local tax return preparation, tax planning, notices and audit support, and related deliverables.

Deliverables and Timing

Deliverables, milestones, and expected delivery dates will be set forth in engagement schedules or statements of work executed under this MSA. Any estimated delivery dates are best-effort estimates and are subject to change based on timely receipt of Client materials.

Fees, Billing and Payment

Client agrees to pay fees for Services as described in individual Statements of Work. Fees are based on hourly rates, fixed fees, or other arrangements as specified below.

Expenses and Taxes

Client will reimburse reasonable out-of-pocket expenses incurred by the Service Provider in connection with the Services. Any applicable sales, use, value-added, or other similar taxes on fees are the responsibility of the Client unless otherwise agreed in writing.

Client Responsibilities

Client will provide complete, accurate, and timely information and documentation necessary for the Service Provider to perform the Services. Client is responsible for the accuracy of information provided to the Service Provider.

Confidentiality

The Service Provider will maintain the confidentiality of Client information and will not disclose confidential information to third parties except as required by law or with Client consent. Confidential information does not include information that is or becomes publicly available other than through breach of this Agreement.

Limitation of Liability

Except as prohibited by applicable law, the Service Provider's liability for direct damages arising out of or related to this Engagement shall not exceed the amounts actually paid by Client to the Service Provider for the specific Services giving rise to the claim. Neither party shall be liable for consequential, incidental, or special damages.

Records; Retention; Audit Assistance

Client authorizes Service Provider to retain copies of work papers for a reasonable retention period. Upon request, Service Provider will provide reasonable assistance in responding to examinations, audits, or administrative inquiries; additional fees may apply.

Term and Termination

This Engagement commences on the Effective Date and continues until terminated by either party upon written notice. Termination does not relieve Client of the obligation to pay for Services performed and costs incurred prior to termination.

  2. That the taxpayer is not subject to backup withholding due to failure to report interest or dividends, unless the taxpayer has been notified that backup withholding is required.
  3. That the taxpayer is a U.S. person for tax purposes or otherwise has provided appropriate documentation of foreign status where required.
  4. That the taxpayer will promptly notify the Service Provider in writing if any information provided herein becomes inaccurate.
