GENERAL BUSINESS AGREEMENT

This General Business Agreement ("Agreement") is entered into as of the Effective Date set forth below by and between the parties identified herein. Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client is engaged in the business described as: and requires services described in this Agreement; and

WHEREAS, Service Provider represents that it has the expertise, personnel and resources necessary to perform the services and deliverables set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the performance, payment and confidentiality of matters arising under this Agreement.

Service Provider shall furnish the professional services, materials and deliverables described in the Scope of Work below. The Scope of Work shall include specific tasks, milestones and acceptance criteria.

PAYMENT TERMS

Compensation for the services described herein shall be payable as follows. All fees are exclusive of applicable taxes unless otherwise stated. Service Provider shall invoice Client in accordance with the schedule set forth below, and Client shall pay undisputed amounts in accordance with the payment terms.

All undisputed invoices not paid within the Payment Due period shall accrue interest at the rate specified above, or if unspecified, at the lesser of the maximum lawful interest rate and one percent (1%) per month. Client shall notify Service Provider in writing of any disputed invoice within fourteen (14) days of receipt, specifying the basis for the dispute.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue in force until the End Date or until terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective date of termination. Either party may terminate immediately for cause upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other, whether in written, electronic, or oral form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information which is or becomes publicly known other than through the receiving party's breach of this Agreement, is independently developed without use of the disclosing party's Confidential Information, or is rightfully received from a third party without confidentiality obligations.

The receiving party shall: (a) use Confidential Information solely for the purposes of performing obligations under this Agreement; (b) restrict disclosure to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein; and (c) take reasonable measures to protect the confidentiality of such information. The obligations in this section shall survive termination of this Agreement for a period of years.

REPRESENTATIONS; WARRANTIES; INDEMNIFICATION

Each party represents that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards. EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any schedules and attachments incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendments or modifications to this Agreement must be in writing and signed by authorized representatives of both parties.
