TAXI SERVICE AGREEMENT

This Taxi Service Agreement ("Agreement") is entered into as of Effective Date: by and between Operator Name: ("Operator") and Client Name: ("Client").

RECITALS

WHEREAS, Operator is duly licensed and engaged in the business of providing taxi and passenger transportation services within the agreed Service Area and maintains vehicles, drivers and necessary permits to provide such services; and

WHEREAS, Client desires to retain Operator to provide scheduled and on-demand taxi services for passengers, and Operator is willing to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend to set forth the scope, payment, liability allocation and other material terms governing the provision of taxi services.

SERVICE STANDARDS

Operator shall perform services with commercially reasonable care, employing drivers who hold valid driver permits and have passed background checks and any required drug screening. Vehicles shall be maintained in safe, clean and operable condition and comply with all applicable safety standards.

Schedule requirements: pickup and drop-off windows and any standing reservations shall be confirmed in writing or electronic notice. Operator will use reasonable efforts to meet scheduled times but shall not be liable for delays caused by traffic, road conditions or events outside Operator's control.

PAYMENT TERMS

Late Payment: unpaid amounts shall accrue interest at the rate of (or the maximum allowed by law) from the due date until paid. Client shall also reimburse Operator for reasonable collection costs and attorneys' fees incurred to collect overdue sums.

INSURANCE, LICENSES AND PERMITS

Operator represents that it maintains at all times commercial liability insurance and automobile insurance covering vehicles and drivers used in the performance of this Agreement with limits no less than:

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for fifteen (15) days after written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public business information disclosed by the other party (the "Disclosing Party") in connection with this Agreement, including passenger manifests, pricing, contract terms and operational procedures ("Confidential Information"). Confidential Information shall not include information that is publicly available other than through a breach of this Agreement or information independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall not disclose Confidential Information to third parties except to its employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein. Upon termination of this Agreement, each party shall return or destroy the other party's Confidential Information upon request.

INDEMNIFICATION

Operator shall indemnify and hold harmless Client from and against any liabilities, losses, damages, claims and expenses (including reasonable attorneys' fees) arising from Operator's negligence or willful misconduct in the performance of taxi services. Client shall indemnify and hold harmless Operator from claims arising from Client's negligent instructions or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified for governing law: , without regard to its conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits or addenda expressly incorporated in writing, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment, modification or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement or any of its rights or obligations without the prior written consent of the other party, except that Operator may subcontract services to licensed subcontractors so long as Operator remains responsible for performance.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
