TCPA Retainer Agreement

This TCPA Retainer Agreement (the "Agreement") is made as of Date: between Client Name: whose address is (hereinafter "Client") and Attorney / Law Firm: with principal address (hereinafter "Firm").

RECITALS

WHEREAS, Client alleges that one or more persons or entities made unsolicited telephone calls, automated calls, prerecorded calls, or text messages to Client's telephone number(s) in violation of the Telephone Consumer Protection Act ("TCPA") and seeks to investigate, evaluate, and pursue claims and remedies arising from such conduct; and

WHEREAS, Firm is authorized and willing to provide legal services to Client in connection with the investigation, prosecution, settlement, and related legal work concerning alleged TCPA violations described herein; and

WHEREAS, Client desires to retain Firm and Firm desires to accept such retention on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ENGAGEMENT AND SCOPE

1.1 Engagement. Client hereby retains Firm to represent Client in connection with the evaluation, investigation, prosecution, settlement, and appeal of TCPA claims arising from telephone calls and/or text messages to Client's telephone number(s) as further described in Matter Description:

1.2 Limited Scope. Firm's representation does not include appeals, unrelated claims, or other matters not expressly described above unless the parties agree in writing. Firm may engage or contract with investigators, experts, or co-counsel as reasonably necessary and shall notify Client of substantive delegations.

2. ATTORNEY AUTHORITY; SETTLEMENT

2.1 Authority to Act. Client authorizes Firm to take all reasonable and customary actions on Client's behalf in furtherance of the representation, including but not limited to filing lawsuits or arbitration, conducting discovery, negotiating settlements, and executing releases. Firm shall consult with Client regarding case strategy and significant decisions whenever practicable.

2.2 Settlement Approval. Firm may settle claims on Client's behalf for amounts up to Settlement Approval Threshold: without obtaining prior written approval from Client. Settlements in excess of that amount require Client's written approval, which shall not be unreasonably withheld.

3. FEES

3.1 Fee Arrangement. The parties agree that fees will be charged as selected below. Client shall select one fee arrangement by marking the applicable checkbox(es). If multiple boxes are selected inadvertently, the contingency arrangement will govern unless otherwise agreed in writing.

If contingency selected, Firm will receive % of Gross Recovery. "Gross Recovery" means the total monetary recovery before deduction of costs and expenses. Contingency calculation: Firm's fee shall be calculated .

If hourly selected, Firm's attorneys will bill at the following rates: Lead Attorney per hour; Associate per hour. Billing increments shall be hours.

3.2 Hybrid or Flat Fee. Parties may agree to a hybrid arrangement or flat fee in writing. If applicable, Base Fee: and contingent percentage: %.

4. COSTS, EXPENSES, AND RETAINER

4.1 Costs and Expenses. Client is responsible for out-of-pocket costs and expenses including filing fees, service of process, deposition costs, expert fees, courier, travel, photocopying, and other third-party charges. Such costs may be advanced by Firm and, unless otherwise agreed in writing, Client shall reimburse Firm from any recovery or, if there is no recovery, within 30 days of invoice.

4.2 Retainer Deposit. Upon execution of this Agreement, Client shall pay a Retainer Deposit: to be held in Firm's client trust account and applied against costs or billed fees as described in Firm's billing statements.

4.3 Lien on Recovery. Client grants Firm a charging lien on any recovery obtained on Client's behalf to secure payment of fees and costs earned and advanced under this Agreement, to the extent permitted by law.

5. CLIENT COOPERATION; REPRESENTATIONS

5.1 Cooperation. Client shall cooperate fully with Firm, provide truthful information, produce relevant documents and records, preserve evidence, be available for consultation, and promptly respond to Firm's communications. Failure to cooperate is a material breach of this Agreement.

5.2 Client Representations. Client represents that information provided to Firm about calls or messages is true to the best of Client's knowledge, that Client owns or controls the claims asserted, and that Client has not transferred or assigned those claims except as disclosed to Firm.

6. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

All communications and documents provided to Firm in the course of representation are subject to the attorney-client privilege and work-product protections to the extent applicable. Client authorizes Firm to disclose privileged information where necessary for representation, settlement negotiations, or as required by law. Any waiver of privilege shall be subject to Client's prior authorization, except where disclosure is required by Court order.

7. CONFLICTS; MULTI-CLIENT REPRESENTATION

7.1 Conflicts. Firm represents that, to the best of its knowledge after reasonable inquiry, no conflict exists that would preclude Firm's representation of Client. If a conflict arises, Firm will notify Client and may need to withdraw consistent with its ethical obligations.

7.2 Waiver of Certain Conflicts. To the extent permitted by applicable professional rules, Client consents to Firm's representation of other persons with TCPA claims, provided such concurrent representations do not create a material adversity to Client's interests. Client indicates consent by checking: .

8. TERMINATION

Either party may terminate this Agreement for any reason upon written notice to the other. In the event of termination, Client shall remain responsible for fees and costs earned or advanced through the date of termination. If a contingency fee arrangement applies, Firm's entitlement to a contingency fee on any subsequent recovery shall be governed by applicable law and any lien or quantum meruit principles described in this Agreement.

9. DISPUTE RESOLUTION

Any dispute between the parties arising out of or related to this Agreement, including fee disputes, shall be resolved by binding arbitration unless otherwise required by law. The arbitrator shall apply the substantive law of the Governing State: and shall have authority to award attorneys' fees and costs if permitted by statute.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and sent to the addresses below (or to alternative addresses designated in writing by either party).

11. MISCELLANEOUS

11.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

11.2 Amendments and Waiver. This Agreement may be amended or modified only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing signed by the party waiving compliance.

11.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed to give effect to the parties' intent.

11.4 Counterparts; Electronic Signature. This Agreement may be executed in counterparts and delivered by electronic means, each of which shall be deemed an original and all of which together shall constitute one instrument.
