TEAM AGREEMENT

This Team Agreement (the Agreement) is entered into effective as of (Effective Date), by and between the undersigned parties who together form the Team set forth below for the purpose described herein.

Scope of Work

The parties shall collaborate to perform the work, services, and deliverables described below. Detailed responsibilities, milestones, and acceptance criteria shall be as set out in this section.

Roles and Responsibilities

Each party shall perform its assigned tasks in a timely and professional manner consistent with industry standards. Specific responsibilities shall include, but are not limited to, the following:

Payment Terms

In consideration of the services and deliverables, the paying party shall compensate the performing party as set forth below. All payments are due in U.S. dollars unless otherwise agreed in writing.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the intended termination date.

Notwithstanding the foregoing, a party may immediately terminate this Agreement for material breach by the other party that remains uncured for thirty (30) days after written notice specifying the breach.

Confidentiality

Each party (Recipient) shall hold in strict confidence all Confidential Information disclosed by the other party (Discloser) and shall not use or disclose such Confidential Information except as necessary to perform under this Agreement. Confidential Information does not include information that is or becomes publicly known through no wrongful act of Recipient, is rightfully received from a third party without restriction, or is independently developed by Recipient without reference to Discloser's Confidential Information.

Intellectual Property

Unless otherwise agreed in writing, all intellectual property and work product created specifically for the Team under this Agreement shall be owned as follows: background IP remains the sole property of the contributing party; new IP developed jointly shall be owned jointly in proportion to each party’s contribution, subject to equitable licensing for the Team’s purposes. Parties shall execute further documents as reasonably necessary to effectuate these ownership and licensing arrangements.

Representations; Warranties; Indemnification

Each party represents that it has the right and authority to enter into this Agreement and perform its obligations. Each party agrees to indemnify and hold harmless the other against claims arising from its breach of this Agreement, negligence, or willful misconduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in the selected jurisdiction unless the parties agree otherwise in writing.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and communications. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any other breach. Notices required under this Agreement shall be delivered in writing to the addresses set forth above.
