This Team Collaboration Addendum ("Addendum") is entered into as of Effective Date: and amends the Primary Agreement identified below between the parties set forth herein.

Invoices shall be submitted by the performing party and are due within days of receipt. Late payments will accrue interest at or the maximum rate permitted by law, whichever is less.

Term and Termination

Either party may terminate this Addendum for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Material breach that is not cured within thirty (30) days after written notice may be the basis for immediate termination by the non-breaching party.

Confidentiality

Each party shall maintain in confidence and shall not disclose or use any Confidential Information of the other party except as necessary to perform its obligations under this Addendum. "Confidential Information" means nonpublic information disclosed by a disclosing party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that (a) is or becomes publicly known through no breach by the receiving party; (b) is rightfully received from a third party without duty of confidentiality; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided prompt notice is given to the disclosing party and disclosure is limited to the extent possible.

Intellectual Property and Work Product

Except as otherwise set forth in the Primary Agreement, any Work Product developed jointly by the parties in performance of this Addendum shall be owned as follows: Ownership: . Each party shall comply with applicable data protection laws and shall not retain, use, or disclose shared data except for performance of obligations under this Addendum.

Liability and Indemnification

Each party agrees to indemnify, defend and hold harmless the other party from and against third party claims arising out of its negligent acts, willful misconduct, or breach of this Addendum. Neither party shall be liable to the other for consequential, incidental, special or punitive damages except to the extent such damages arise from gross negligence or willful misconduct.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement; Amendments

This Addendum, together with the Primary Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter. Any amendment to this Addendum must be in writing and signed by authorized representatives of both parties.
